Vertex Patents definition

Vertex Patents means any Patents Controlled by Vertex or its Affiliates claiming Vertex CF Technology.
Vertex Patents means any Patents Controlled by VERTEX or its Affiliates claiming Kinase Technology.
Vertex Patents means all Patents Controlled by VERTEX or any of its Affiliates claiming Bulk Drug Substance, a Compound or a Drug Product, or a method of making or using Bulk Drug Substance, a Compound or a Drug Product, or an improvement to the subject matter of a Patent covering any of the foregoing that would be infringed by the research, development, manufacture, use, sale, offer for sale or import of Bulk Drug Substance, Compound(s) or Drug Product. A list of VERTEX Patents in the Territory is appended hereto as Schedule 1.56 and will be updated periodically to reflect additions thereto during the term of this Agreement. Notwithstanding the foregoing, any Third-Party patent under which VERTEX obtains a license pursuant to Section 7.4.2 hereof shall not be deemed to be a VERTEX Patent.

  • Vertex shall take responsibility for the preparation, filing, prosecution and maintenance of all Vertex Patents, and any patents and patent applications claiming Joint Inventions, and CFFT shall take responsibility for the preparation, filing, prosecution and maintenance of all CFFT Patents.

  • The Parties shall cooperate in good faith with each other in gaining patent term extension wherever applicable to Vertex Patents covering the Compound, Bulk Drug Substance or Drug Products.

Vertex Patents means any Patents Controlled by VERTEX or any of its Affiliates claiming Bulk Drug Substance, a Drug Product Candidate or a Drug Product, or a formulation or prodrug thereof, discovered or identified by VERTEX or its Affiliates during the course of the Research Program and the Development Program, or a method of making or using Bulk Drug Substance, a Drug Product Candidate or a Drug Product, or a prodrug thereof, or an improvement to the subject matter of a Patent covering any of the foregoing. A list of VERTEX Patents is appended hereto as Schedule 1.44 and will be updated periodically to reflect additions thereto during the term of this Agreement.
Vertex Patents means any Patents owned by VERTEX or any of its Affiliates or under which VERTEX or any of its Affiliates acquires rights (other than under this Agreement or the License Agreement, and unless those acquired rights may not be included under this Agreement by reason of restrictions imposed by a Third Party from which the rights were acquired), claiming (i) Base Compounds; (ii) a compound discovered or identified during the course of the Research Program, or an improvement to the subject matter of a SCHERING Patent which, if discovered or developed by VERTEX in the course of the Research Program, would be a Program Compound or otherwise the subject of a VERTEX Patent as defined in this Agreement; (iii) a method of using any such compound referenced in items (i) and (ii) above; or (iv) any processes (including manufacturing processes) discovered or developed by VERTEX or any of its Affiliates in the course of the Research Program or the Development Program, which are or may be useful in the Field, and including any continuation, continuation-in-part, or division of any such Patent. A list of VERTEX Patents will be appended hereto as Schedule 1.41 and updated periodically to reflect additions thereto during the course of the Research Program. VERTEX shall keep SCHERING currently informed in writing of all VERTEX patents.

Vertex Patents means any and all claims of Patents Controlled by Vertex or any of its Affiliates, which claim or claims would be infringed by making, having made, using, selling, offering for sale, importing, researching or developing the Compound, Bulk Drug Substance, or a Drug Product, to the extent permitted under this Agreement, or by using Biomarkers in connection with the administration of a Drug Product to a human subject in the Field to the extent permitted by this Agreement. A list of Vertex Patents is appended hereto as Schedule 1.77, which will be updated periodically to reflect additions thereto during the term of this Agreement.
Vertex Patents means any existing or later-filed patents or patent applications filed by or on behalf of VERTEX or any of its Affiliates in the Territory containing claims describing VX-710 or a Licensed Product, including any and all divisions, continuations, continuations-in-part, extensions, substitutions, renewals, confirmations, supplementary protection certificates, registrations, revalidations, reissues or additions of or to any of the aforesaid patent and patent applications. A list of VERTEX Patents as of the Effective Date is included on Schedule 1.23 hereto. VERTEX will keep BIOCHEM informed of additions and amendments thereto.
