Unincorporated Materials definition

Unincorporated Materials has the meaning given in Section 3.3.26 of the Disbursement Agreement.

More Definitions of Unincorporated Materials

Unincorporated Materials. Materials purchased or manufactured for incorporation in the Improvements but, at the time an advance under the Loan is made to pay the cost therefor, not yet incorporated in the Improvements.
Unincorporated Materials has the meaning assigned to such term in the definition of Stored Materials. “U.S. Government Securities Business Day” means any day except for a Saturday, a Sunday or a day on which the Securities Industry and Financial Markets Association, or any successor thereto, recommends that the fixed income departments of its members be closed for the entire day for purposes of trading in United States government securities. “U.S. Person” shall mean any Person that is a “United States Person” as defined in Section 7701(a)(30) of the Code. “U.S. Tax Compliance Certificate” has the meaning set forth in Section 2.2.3(e)(ii)(B)(3) hereof. “WARN Act” shall mean the Worker Adjustment and Retraining Notification Act or any other applicable similar state law. “Withdrawal Liability” has the meaning given to such term under Part I of Subtitle E of Title IV of ERISA. “Write-Down and Conversion Powers” means, with respect to any EEA Resolution Authority, the write-down and conversion powers of such EEA Resolution Authority from time to time under the Bail- In Legislation for the applicable EEA Member Country, which write-down and conversion powers are described in the EU Bail-In Legislation Schedule.
Unincorporated Materials means all materials, machinery, fixtures, furniture, equipment or other items, purchased or manufactured for incorporation into the Project but which, at the time in question, (i) are not located at the Project site, but have been delivered to Borrower or its agents and are stored in a designated and secure area at a “bonded” warehouse location in the United States of America that is reasonably acceptable to Administrative Agent, and for which the Borrower has paid or intends to pay with the proceeds of the Loan all or a portion of the purchase price, or (ii) are located at the Project site but are not expected to be incorporated into the Project within one hundred twenty (120) days after the date of such Disbursement Request. For avoidance of doubt, “Unincorporated Materials” shall not include materials, machinery, fixtures, furniture, equipment or other items for which Borrower has paid deposits in accordance with the seller’s terms of manufacture or sale, but which have not been shipped from the seller’s point of origin. “Unincorporated Materials Amount” has the meaning given in Section 5.1. “Update Endorsement” has the meaning given in Section 4.1.2(c).

RULES OF INTERPRETATION The following rules of interpretation shall apply to the Disbursement Agreement and this Exhibit A unless otherwise required by the context or as specifically provided: Words in the singular include the plural and words in the plural include the singular. The word “or” is not exclusive. A reference to a Person includes its permitted successors and permitted assigns. Accounting terms have the meanings assigned to them by generally accepted accounting principles in the United States of America, as in effect from time to time, as applied by the accounting entity to which they refer. A reference to “including” means including without limiting the generality of any description preceding such term. A reference in the Disbursement Agreement to an article, section, exhibit, schedule, annex part, clause, paragraph, party, appendix or other attachment is to the article, section, exhibit, schedule, annex, part, clause, paragraph, party, appendix or other attachment of such document unless otherwise indicated in such document. References to any document, instrument or agreement (a) shall include all exhibits, schedules and other attachments thereto, (b) shall include all documents, instruments or agreements issued or executed in replacement thereof, and (c) shall mean, unless specifically indicated, such document, instrument or agreement as in effect on the date hereof, notwithstanding any termination, such expiration or amendment of such agreement unless all of the parties to the Disbursement Agreement are signatories to such amendment or unless the signatories of such amendment have the right to amend the Disbursement Agreement without the consent of the other parties to the Disbursement Agreement, in which case any references shall be to such agreement as so amended. The words “hereof,” “herein” and “hereunder” and words of similar import when used in the Disbursement Agreement shall refer to such document as a whole and not to any particular provision of such document.
