Underlying Transfer Agent definition

Underlying Transfer Agent means State Street Bank and Trust Company or such other organization which may from time to time be appointed by the Fund to act as a transfer agent for the Underlying Portfolios and with respect to which the Custodian is provided with Proper Instructions.
Underlying Transfer Agent means, with respect to a Fund, the transfer agent for Underlying Shares. “Underlying Shares” means uncertificated shares of registered investment companies (as defined in Section 3(a)(1) of the Investment Company Act), whether in the same group of investment companies (as defined in Section 12(d)(1)(G)(ii) of the Investment Company Act) or otherwise, including pursuant to Section 12(d)(1)(F) of the Investment Company Act. “U.S. Securities System” means a Clearance System located within the United States and that is in compliance with the conditions of Rule 17f-4 under the Investment Company Act.

  • The Custodian shall hold and physically segregate for the account of each Portfolio all securities and other financial assets held by the Custodian in the United States, including all domestic securities of the Portfolio, other than (a) securities or other financial assets maintained in a U.S. Securities System and (b) Underlying Shares maintained pursuant to Section 3.6 in an account of an Underlying Transfer Agent.

  • Underlying Shares of a Fund, on behalf of a Portfolio, shall be deposited and held in an account or accounts maintained with an Underlying Transfer Agent.
