Unaudited Interim Financial Statements has the meaning set forth in Section 4.6(a).
Unaudited Interim Financial Statements is defined in Section 3.3(a).
Unaudited Interim Financial Statements means the unaudited consolidated balance sheet of the Seller as of December 31, 2009, and the related unaudited consolidated income statement of the Seller for the three-month period, together with the notes (if any) thereto, in substantially the form attached as Exhibit E.
