Trust Parties definition

Trust Parties. As defined in Section 5.04. Trustee: Bankers Trust Company of California, N.A., a national banking association, and its successors in interest or any successor trustee appointed as provided pursuant to this Agreement.
Trust Parties shall have the meaning set forth in the preamble.
Trust Parties means, with respect to the PM35 Sale/Leaseback, Wilmington Trust Company, as Owner Trustee; Wells Fargo Bank Northwest, N.A. (as successor to First Security Bank, National Association) as Indenture Trustee; collectively, the institutions named in the schedule attached to the Participation Agreement, together with their permitted successors or assigns, as Lenders; and Daimler Capital Services LLC (as successor to Chrysler Capital Corporation), as Owner Participant, and each of the foregoing parties’ affiliates, together with their subsidiaries, divisions, branches, units, affiliates, parents, successors, predecessors, and assigns, and the current and former agents, servants, officers, directors, shareholders, employees, attorneys, auditors, professionals, and representatives, of each of them.

Examples of Trust Parties in a sentence

  • It is understood that directors, officers, employees and shareholders of the Trust Parties are or may become interested in the Adviser and its affiliates, as directors, officers, employees, partners, shareholders, members, managers or otherwise, and that the Adviser and directors, officers, employees, partners, shareholders, members and managers of the Adviser and its affiliates are or may become similarly interested in the Trust Parties as shareholders or otherwise.

  • The Trust Parties will pay the Adviser a management fee (the “DST Management Fee” and, together with the Trust Management Fee and the OP Management Fee, the “Management Fee”) equal to 1.25% per annum, payable monthly, of the aggregate DST Property Consideration for all DST Properties subject to a master lease.

  • Subject to the supervision of the Board, the Adviser shall have the power and authority on behalf of the Trust Parties to effectuate its investment decisions for the Trust Parties, including the execution and delivery of all documents relating to each Trust Party’s investments and the placing of orders for other purchase or sale transactions on behalf of the Trust Parties.

  • So long as this Agreement or any extension, renewal or amendment remains in effect, the Adviser shall be the only investment adviser for the Trust Parties, subject to the Adviser’s right to enter into sub-advisory agreements as set forth herein.


More Definitions of Trust Parties

Trust Parties means all such parties collectively.

Trust Parties means, collectively, the Trusts, the Trustees, and the Trustees’ member’s shareholders, officers, directors, employees, and managers; for the avoidance of doubt, “Trust Parties” shall not include environmental, engineering, or technical consultants and contractors, and other third-party professionals retained by the Trustees to assist the Trustees in carrying out their responsibilities under this Consent Decree and the Trust Agreements.
