Transferring Investor definition

Transferring Investor has the meaning assigned in Section 3.2(b).

Transferring Investor means an Investor that proposes to transfer all or any portion of its Transfer Stock in a Proposed Transfer.

Examples of Transferring Investor in a sentence

• A Transferring Investor shall send a written notice to each other Investor (the “Tag Along Notice”) if it wishes to accept an offer for all or some of its Shareholder Instruments in respect of which this paragraph 21 applies (the “Transfer Shareholder Instruments”) (a “Tag Along Offer”).

• In the event that an Investor desires to sell (or otherwise transfer) (a “Transferring Investor”), and has received a bona fide offer in writing from an unaffiliated third party to buy (an “Investor Transfer”), any shares of the Company’s capital stock now owned or hereafter acquired by such Investor (“Investor Shares”), the Transferring Investor shall first notify the Company and each of the Investors in writing of the proposed sale (the “Investor Transfer Notice”).

• Each Investor may exercise such purchase option and, thereby, purchase all (or any portion of) such Investor’s pro rata share of the Offered Investor Shares (with any reallotments as provided below), by notifying the Transferring Investor and the Company in writing, before expiration of such fifteen (15) day period as to the number of such shares that it wishes to purchase (including any reallotment).

• A Transferring Investor shall be prohibited from selling the Transfer Shareholder Instruments to the third party unless the third party agrees to purchase the Tag Along Shareholder Instruments in compliance with the provisions hereof.

• Subject to paragraph 4, any Direct Transfer of the Transfer Securities by the Transferring Investor to the Non-Transferring Investor (a "Buyer") made under this Schedule 4 shall be made in accordance with this paragraph 3.1.
