Tranche B Agent definition

Tranche B Agent shall have the meaning set forth in the preamble to this Agreement.

Tranche B Agent means such successor effective upon its appointment, and the former Tranche B Agent's rights, powers and duties as Tranche B Agent shall be terminated without any other or further act or deed on the part of such former Tranche B Agent or any of the parties to this Agreement. After the resignation of any Tranche B Agent hereunder, the provisions of this Section 13 shall inure to the benefit of such former Tranche B Agent and such former Tranche B Agent shall not by reason of such resignation be deemed to be released from liability for any actions taken or not taken by it while it was an Tranche B Agent under this Agreement.

Examples of Tranche B Agent in a sentence

• After any retiring Tranche B Agent’s resignation hereunder as Tranche B Agent, the provisions of this Section 12 shall inure to its benefit as to any actions taken or omitted by it while it was Tranche B Agent under this Agreement.

• The US Borrowers and the Obligors may not assign their respective rights under this letter without the prior written consent of the Agent, the Tranche B Agent and the US Lenders.

• At the request of any of the Agent, the Tranche B Agent and the US Lenders at any time and from time to time, each of the US Borrowers and the Obligors shall, at their expense, duly execute and deliver, or cause to be duly executed and delivered, such further agreements, documents and instruments, and do or cause to be done such further acts as may be requested by any of the Agent, the Tranche B Agent and the US Lenders to effectuate the provisions or purposes of this letter.

• Thereafter, such Initial License Period shall be continue uninterrupted so long as Tranche B Agent continues to own the Intellectual Property.

• Each Tranche B Lender authorizes and directs Tranche B Agent to enter into this Agreement and the other Financing Agreements.

More Definitions of Tranche B Agent

Tranche B Agent means the Person as may be appointed by the Tranche B Lenders as agent for the Tranche B Lenders together with it successors and assigns in such capacity.

Tranche B Agent means Wachovia Bank, National Association, as contractual representative for the Tranche B Lenders under the terms of this Agreement, and any of its successors.

Tranche B Agent means Back Bay Capital Funding LLC, solely in its capacity as agent for the Tranche B Lenders hereunder, and any successor thereto.

Tranche B Agent means The Bank of New York, in its capacity as Agent pursuant to the Tranche B Loan Agreement acting for the benefit and on behalf of Tranche B Lenders, and its successors and assigns (and including, without limitation, any successor, assignee or additional person at any time acting as agent for the benefit of or on behalf of it and/or Tranche B Lenders).

Tranche B Agent means Citicorp International, Ltd., Hong Kong, in its capacity as agent under Tranche B, and includes any successor Tranche B Agent appointed pursuant to Section 11.07.

Tranche B Agent means Regiment Capital III, L.P., a Delaware limited partnership, as agent for the Tranche B Lenders under the Tranche B Financing Agreements.
