Tower Structures definition

Tower Structures means communications tower structures and improvements (including buildings) situated at the Tower Sites that are identified in Sections 4.3(a) and 4.3(b) of the Disclosure Schedule (excluding any Rejected Sites and, pending cure of the pertinent Defect(s) in accordance with Section 6.9, Remedial Sites), and owned by Seller, and all of Seller’s right, title and interest therein or appurtenant thereto, including rights to all attached tower lighting equipment; AM detuning systems; grounding systems (including tower foundations); storage, equipment shelters (including foundations) or other buildings exclusively for use by third party tenants; temporary or portable on-site buildings that include shared equipment; and physical improvements on each Tower Site, including without limitation fencing; provided, however, that such term does not include any Excluded Assets or any equipment, property or other assets placed upon the Tower Structures or Tower Sites by third parties pursuant to Tower Leases or other Contracts. Transactions shall mean the transactions contemplated to be consummated by this Agreement and the Collateral Documents.
Tower Structures means the communications tower structures situated at the locations that are identified on Annex I and owned or leased by BAM or the Transferring Partnerships, and BAM's and the Transferring Partnerships' rights to all attached tower lighting equipment, alarm systems, grounding systems and physical improvements on each Tower Site, including fencing, along with any tenant leases, easement rights necessary for access to the Tower Structure and for location of the Tower Structure and guy wires, if any, associated therewith; provided however, such term does not include any equipment, property or other assets placed upon the Tower Structures or Tower Sites by third parties pursuant to Tower Leases or other Contracts or any BAM Excluded Assets (as defined in Section 2.3.2 hereof).
Tower Structures means communications tower structures situated at the locations that are identified in Schedule 1.8 (excluding any Rejected Sites), and owned by Powertel or the Sellers, and all of Powertel's and the Sellers' right, title and interest therein or appurtenant thereto, including rights to all power poles; equipment or other foundations (if any) that are not used or occupied by Powertel or the Sellers; equipment platforms (if any) that are not in use and that are located on towers at heights other than the heights at which Powertel's and the Sellers' antennae or other equipment are located; attached tower lighting equipment; alarm systems; grounding systems; and physical improvements on each Tower Site, including without limitation fencing; along with any tenant leases, easement rights necessary for access to the Tower Structure and for location of the Tower Structure and guy wires, if any, associated therewith; provided however, such term does not include any Excluded Assets or any equipment, property or other assets placed upon the Tower Structures or Tower Sites by third parties pursuant to Tower Leases or other Contracts.
