The Service Company definition

The Service Company shall maintain customary records in connection with its duties as specified in this Agreement. Any records required to be maintained and preserved pursuant to Rules 31a-1 and 31a-2 under the Investment Company Act of 1940, as amended (the "1940 Act") which are prepared or maintained by the Service Company shall be the property of the Company and will be made available to or surrendered promptly to BISYS upon its request or to the Company upon its request. In case of any request or demand for the inspection of such records by another party, the Service Company shall notify BISYS and follow BISYS's instructions as to permitting or refusing such inspection; provided that the Service Company may exhibit such records to any person in any case where it is advised by counsel to the Company that the Company may be held liable for failure of the Service Company to do so, or the Service Company could be held in contempt for failure to do so.

  • Service Company means any entity employed by the Custodian or the Distributor, including the transfer agent for the Fund(s), to perform various administrative duties of either the Custodian or the Distributor. In any case where there is no Service Company, the duties assigned hereunder to the Service Company will be performed by the Distributor (if any) or by an entity that has a contract to perform management or investment advisory services for the Fund(s).

  • Legal Services means services of a legal or financial nature and includes any part of such services, and for the avoidance of doubt, includes (without limitation):-

  • Satellite services means communications capabilities that utilize an on-orbit satellite for transmitting the signal from one location to another.

  • Service Component means certain enabling Software, hardware peripherals and associated documentation which may be separately provided by Symantec as an incidental part of a Service.

  • Respite services means a temporary period of relief and support for individuals and their families provided in a variety of settings. The intent is to provide a safe environment with staff assistance for individuals who lack an adequate support system to address current issues related to a disability.   • Electric Reliability Organization or “ERO” means the organization that is certified by the Commission under Section 39.3 of its regulations, the purpose of which is to establish and enforce Reliability Standards for the Bulk Power System in the United States, subject to Commission review. The organization may also have received recognition by Applicable Governmental Authorities in Canada and Mexico to establish and enforce Reliability Standards for the Bulk Power Systems of the respective countries.

  • Service Center Our mailing address shown in the Contract Specifications. We will notify you of any change in our mailing address.

  • Extra Services means those services set forth in Schedule “B” that are requested by the Municipality for itself or on behalf of its citizens and provided by the Company in accordance with paragraph 7 of this Agreement;

  • Commercial Services means any waste management service, relating or connected to accumulating, collecting, managing, recycling, sorting, storing, treating, transporting, disposing, buying or selling of waste or any other manner of handling waste excluding services rendered by the municipality;
