Terminated Product definition

Terminated Product has the meaning set forth in Section 18.3.4.2(v).
Terminated Product means (a) in the event of a termination of this Agreement by Company pursuant to Section 10.3.2 (Discretionary Termination), the applicable terminated Products and (b) in the event of any other termination of this Agreement, all Products.
Terminated Product has the meaning set forth in Section 11.3.1.

  • Roche shall pay to GBT a royalty of [***] percent ([***]%) of Net Sales for [***] after the First Commercial Sale of the Terminated Product on a country-by-country basis, for example if the Terminated Product is transferred to Roche after [***] following the First Commercial Sale of the Terminated Product in the US, then Roche shall pay to GBT a royalty for the remaining [***].

More Definitions of Terminated Product

Terminated Product shall have the meaning assigned thereto in Section 14.3.
Terminated Product means, in the case of any termination of this Agreement in its entirety, any and all Licensed Products hereunder, and, in the case of any termination of this Agreement by either Party pursuant to Section 14.2.2 with respect to one or more but fewer than all Licensed Products, the Licensed Product(s) with respect to which this Agreement is terminated pursuant to Section 14.2.2.
Terminated Product means any: (a) Option Product for which an Option Product License Agreement has not been executed during the Option Negotiation Period in accordance with Section 6.12(a); (b) Research Product terminated pursuant to Section 6.7(d) or 18.5; (c) Licensed [***] Compound or Licensed [***] Product that reverts to Takeda pursuant to Section 4.3(f); or (d) Licensed Product or Research Product terminated pursuant to Section 15.2, 15.4 or 15.5.
Terminated Product means one or several Product(s) for which this Agreement has been terminated pursuant to Section 20.2, depending on whether the Agreement has been terminated in its entirety or on a Product-by-Product basis.
Terminated Product means the Licensed Vaccines and/or Licensed Products for which GlobeImmune obtains the exclusive right to conduct Development and Commercialization under this Agreement in the event this Agreement is terminated by Gilead pursuant to Section 10.3, or by GlobeImmune pursuant to Section 10.2.1, 10.4 or 10.5.
