Tax Documents definition

Tax Documents has the meaning given to it in Section 5.09(a).
Tax Documents means the Tax Certificate as to Arbitrage and Instructions as to Compliance with Provisions of Section 103(a) of the Internal Revenue Code of 1986, as amended, of the Company and the Issuer, dated as of the issuance date of the Bonds, and such other documents as Bond Counsel may require to be executed and delivered in connection with the issuance of the Bonds relating to their tax status under the Code.
Tax Documents has the meaning set forth in Section 8.1(a).

Examples of Tax Documents in a sentence

  • The Tax Documents shall be reviewed by the Compliance Officer to ensure compliance with any applicable yield restriction requirements under Section 148(a) of the Internal Revenue Code (the “Code”) and timely calculation and payment of any rebate and the filing of any associated returns pursuant to Section 148(f) of the Code.

  • The requirements, agreements and procedures set forth in the Tax Documents, now or hereafter in existence, are hereby incorporated into these procedures by this reference and are adopted as procedures of the Issuer with respect to the series of bonds to which such Tax Documents relate.

  • A qualified rebate analyst shall be engaged as appropriate or as may be required under the Tax Documents.

  • Such actions could be prohibited by the Authorizing Proceedings, the Tax Documents or Federal tax law.

  • Expenditure of bond proceeds shall be reviewed by the Compliance Officer to ensure (a) such proceeds are spent for the purpose stated in the Authorizing Proceedings and as described in the Tax Documents and (b) that the proceeds, together with investment earnings on such proceeds, are spent within the timeframes described in the Tax Documents, and (c) that any mandatory redemptions from excess bond proceeds are timely made if required under the Authorizing Proceedings and Tax Documents.


More Definitions of Tax Documents

Tax Documents means the Ruling, the Ruling Request, and the Tax Opinion.
Tax Documents means the Tax Returns, claims, elections, correspondence and other documents which Purchaser is required to prepare on behalf of any Acquired Company under clause 7.1(a), (b) and (c).
Tax Documents means any forms, slips, receipts or other documents or information the Bank may be required or permitted to send to the Customer now or in the future under applicable tax legislation, as amended from time to time.
Tax Documents means Tax Returns and such claims, elections, surrenders, disclaimers, notices and consents and other documents contemplated by or reflected in or necessary for the preparation of such Tax Returns; and
Tax Documents means the tax returns, claims and other documents which the Sellers are required to prepare on behalf of the Company under paragraphs 11.2(a) and 11.2(b);
Tax Documents means all Records, Sales Reports, purchase orders, invoices, reconciliations and accounts that may be required from time to time in order for all reporting, remittance and return filing required under the Excise Tax Act (Canada) to be completed by the LDB in respect of the purchase and sale of DD CP under this Annex B (Direct Delivery); and
Tax Documents means, collectively, (A) with respect to the Initial Bonds, the Arbitrage Certificate and the Tax Regulatory Agreement and (B) with respect to any Additional Bonds, any similar documents executed by the Issuer and/or the Company in connection with the issuance of such Additional Bonds.
