Target Group Companies definition

Target Group Companies means the Company and the Subsidiaries, “Target Company” or “Target Group Company” means any of them and the expression “relevant Target Company” or “relevant Target Group Company” shall be construed accordingly;

Target Group Companies means, in respect of GlaxoSmithKline, the GlaxoSmithKline Consumer Group Companies, and, in respect of Novartis, the Novartis OTC Group Companies, and “Target Group Company” means any one of them;

Target Group Companies means the Autocos and the Fincos and their respective Subsidiaries (other than the Controlled Dealership Entities and the Assets Sellers) and branches, and any of them a “Target Group Company”.

• Under section 260B(2) of the Corporations Act, shareholder approval for financial assistance by the Target Group Companies must be approved byspecial resolution passed at a general meeting of the Company.

• However, the Company is already required to procure that the Target Group Companies comply with most of these undertakings and the Company is required to provide such representations, even though the Target Group Companies have not yet acceded to the Facilities Agreement.

More Definitions of Target Group Companies

Target Group Companies means the Target Companies and the Subsidiaries and “Target Group Company” means any one of them, and following Closing also includes any successor thereof, including by way of merger;
