Structuring Agent definition

Structuring Agent means PNC Capital Markets LLC, a Pennsylvania limited liability company.

Structuring Agent means PNC Capital Markets LLC, in its capacity as structuring agent hereunder or any successor structuring agent.

Structuring Agent has the meaning set forth in the preamble to the Agreement.

• The Administrative Agent and the Sustainability Structuring Agent, as applicable, shall not have any duties or obligations except those expressly set forth herein and in the other Loan Documents to which it is a party, and its duties hereunder shall be administrative in nature.

• The Borrower agrees that it will not assert any claim against any Credit Party or Sustainability Structuring Agent based on an alleged breach of fiduciary duty by such Credit Party or Sustainability Structuring Agent in connection with this Agreement and the transactions contemplated hereby.
