Sponsor Affiliates definition

Sponsor Affiliates means (a) TDR Capital II Holdings LP (as hereinafter used in this definition, the “TDR Investor”) and any other fund (including, without limitation, any unit trust, investment trust, limited partnership or general partnership) which is advised by, or the assets of which are managed (whether solely or jointly with others) from time to time by, the Sponsor or the TDR Investor (or a group controlled by and whose members include the Sponsor and/or the TDR Investor or their Affiliates (other than Holdings or any of its Subsidiaries or any portfolio company of the Sponsor or the TDR Investor)); and (b) any other fund (including, without limitation, any unit trust, investment trust, limited partnership or general partnership) of which the Sponsor or the TDR Investor (or a group controlled by and whose members include the Sponsor and/or the TDR Investor or their Affiliates (other than Holdings or any of its Subsidiaries or any portfolio company of the Sponsor or the TDR Investor)) or the TDR Investor’s general partner, trustee or nominee, is a general partner, manager, adviser, trustee or nominee (but, for the avoidance of doubt, excluding any of Holdings or any of its Subsidiaries or any portfolio company of the Sponsor or the TDR Investor).
Sponsor Affiliates means each Affiliate of the Sponsor that is not a portfolio company.
Sponsor Affiliates means any leveraged buy-out or investment fund, partnership, limited liability company or other entity which is controlled by a majority of the same Persons who control Sponsor. For purposes of this definition, “control” means the power to direct or cause the direction of management and policies of a Person whether by contract or otherwise.

  • Each of the Company and any Sponsor Affiliates agrees that if this Fee Agreement is terminated pursuant to this subsection, that under no circumstance shall the County be required to refund or pay any monies to the Company or any Sponsor Affiliates.

  • Notwithstanding anything in this Fee Agreement to the contrary, it is not intended in this Fee Agreement that the County shall impose transfer restrictions with respect to the Company, any Sponsor Affiliates or the Project as are any more restrictive than the Transfer Provisions.

  • Each of the Company and any Sponsor Affiliates acknowledge that the County is subject to the South Carolina Freedom of Information Act, and, as a result, must disclose certain documents and information on request, absent an exemption.

  • The County acknowledges and understands that the Company and any Sponsor Affiliates may utilize confidential and proprietary processes and materials, services, equipment, trade secrets, and techniques (herein “Confidential Information”).

Sponsor Affiliates means the Guarantor, and any other entity controlled by, or under common control with, any of them.

Sponsor Affiliates means an entity that joins with the Company and that participates in the investment in, or financing of, the Project and which meets the requirements under the Negotiated FILOT Act to be entitled to the benefits of this Agreement with respect to its participation in the Project, all as set forth in Section 5.16 hereof.
Sponsor Affiliates means CLNC Manager, LLC and its Affiliates.
Sponsor Affiliates means, (x) in the case of the Avista Funds, is an investment fund that is a parallel fund (but not a successor fund) or alternative investment vehicle of the Avista Funds with the same general partner as the Avista Funds or a direct or indirect wholly-owned Subsidiary of the Avista Funds or such parallel fund or alternate investment vehicle, including the Avista Syndication Vehicle, and (y) in the case of CapitalCo, is a direct or indirect, wholly owned Subsidiary of OTPP; provided, however, that no “portfolio company” (as such term is customarily used among institutional investors) of any Sponsor or any entity controlled by any portfolio company of any Sponsor shall constitute a Sponsor Affiliate.
Sponsor Affiliates means Aspen Advisors, Condor Partners, Sopris Capital Advisors LLC, Sopris Capital Management and Trendex Capital Management and their respective Affiliates.
Sponsor Affiliates means each Affiliate of the Sponsor that is not an operating company (or a holding company of an operating company), together with any investment funds advised or managed by any of the foregoing and any Related Parties of any of the foregoing.
