• Titanium is authorized for itself and on behalf of its Subsidiaries to enter into amendments or modifications of the applicable loan, ground lease or joint venture documents as Titanium deems necessary to obtain such Specified Consents, subject to the terms of Section 6.13(b).

• For the avoidance of doubt, Seller shall not be entitled to receive more than a single payment pursuant to this Section 1.3 per Specified Consent obtained, and the aggregate amount paid pursuant to this Section 1.3 shall not exceed the Specified Consents Holdback Amount.

• At the Closing, Buyer shall pay, or cause to be paid, to Seller or other Persons designated by Seller, by wire transfer of immediately available funds to such account(s) as Seller shall designate in writing to Buyer not less than three (3) Business Days prior to the Closing Date (the “Seller Designated Account(s)”), an aggregate amount in cash equal to (i) the Estimated Purchase Price less (ii) the Specified Consents Holdback Amount.

• Silver shall cooperate and assist Titanium in connection with soliciting and obtaining any Specified Consents, including the preparation and delivery of any information relating to Silver or any of its Affiliates and all other information required under the applicable loan, ground lease or joint venture documents and as may be reasonably requested by any such joint venture partner, lessor, lender or any loan servicer on behalf of any lender.

• Titanium shall, and shall cause its Subsidiaries to, use reasonable best efforts to obtain each of the Specified Consents promptly after the date of this Agreement, except as may otherwise be agreed to between Silver and Titanium.

More Definitions of Specified Consents

Specified Consents means Licensee Consents issued in connection with or by virtue of the transactions contemplated by this Agreement with respect to the Material Jurisdictions.

Specified Consents means: (A) if Purchaser's acquisition of the Packaging Business (the "Acquisition") is a concentration with a Community dimension within the meaning of Council Regulation (EEC) No. 4064/89 ("ECMR"): (i) a decision (wheth- er or not subject to conditions) under Article 6(1)(B) or (8)(2) ECMR or a deemed clearance under Article 10(6) ECMR declaring the Acquisition compatible with the common market; and (ii) following a referral back of all or part of the Acquisition to the competent authorities of the United Kingdom pursuant to Article 9(3)(b) or Article 9(5) ECMR, receipt of confirmation in the terms of clause (B) below; or (B) if the Acquisition is not a concentration with a Community dimension, or in the circumstances specified in clause (A)(ii) above: receipt of written confirmation (whether or not subject to conditions) that the Secretary of State for Trade and Industry has decided not to refer any part of the Acquisition to the Monopolies and Mergers Commission (the "MMC") or, following an MMC reference of any part of the Acquisition (the "UK Acquisi- tion"), receipt of written confirmation from the Secretary of State for Trade and Industry (whether or not subject to condi- tions) that the UK Acquisition may proceed.

Specified Consents has the meaning given that term in Section 6.01(d).
