Option Exercise Price means the price at which a share of Common Stock may be purchased upon the exercise of an Option.
Top-Up Option has the meaning set forth in Section 1.04(a).
Exercise Payment means the amount of money equal to the Exercise Price multiplied by the number of Optioned Shares specified in the Notice of Exercise;
Company Stock Option means any option to purchase Company Common Stock granted under any Company Stock Plan.
RSU means a restricted stock unit granted under the Plan, which represents an unfunded and unsecured promise to deliver shares of Common Stock in accordance with the terms of the RSU Award Agreement.
Initial Exercise Price shall have the meaning set forth in Section 2.4.1.
Nonqualified Option means any Option that is not an Incentive Stock Option.
Exercise Price means the initial exercise price or the adjusted exercise price, depending on the context.
Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of immediately prior to the Effective Time or will vest solely as a result of the consummation of the Merger.
Aggregate Option Exercise Price means, as of any date of determination, the sum of the exercise prices payable upon exercise in full of all Vested Options held by all Optionholders immediately prior to the Effective Time, based on the Estimated Merger Consideration or the Final Adjusted Merger Consideration, as applicable.
option-based award means an award under an equity incentive plan of options, including, for greater certainty, share options, share appreciation rights, and similar instruments that have option-like features;
Replacement Option means an Option that is granted when a Participant uses a Common Share held or to be acquired by the Participant to exercise an Option and/or to satisfy tax withholding requirements incident to the exercise of an Option.

Exercise Price Per Share ; hereinafter "Exercise Price" means the exercise price with respect to all Shares acquired pursuant to each exercise of the Option).
RSU Award or “RSU” means an Award of restricted stock units representing the right to receive an issuance of shares of Common Stock which is granted pursuant to the terms and conditions of Section 5(a).
RSUs means that number of Restricted Stock Units listed in the Award Notice as “Restricted Stock Units Granted.”
Company Stock Options means any option to purchase Company Common Stock pursuant to any Company Stock Plans.
Option Share has the meaning ascribed to it in section "4.7" hereinbelow;
SARS means the South African Revenue Service.
Warrant Exercise Price means $0.01 per share.
SAR means a stock appreciation right granted under the Plan.
Parent Option means an option to purchase shares of Parent Common Stock.
Option Consideration has the meaning set forth in Section 3.3(a).
Over-Allotment Option means the option of the Underwriters to purchase up to an additional 15 per cent of the firm units (as described in the Articles) issued in the IPO at a price equal to US$10 per unit, less underwriting discounts and commissions.
Restricted Share Unit Award means a right to receive Ordinary Shares which is granted pursuant to the terms and conditions of Section 6(b).
Employee Option means an Option granted pursuant to Section 5.
