Settling Parties definition

Settling Parties means, collectively, Defendants, Plaintiff, and the Class.

  • Solely for purposes of the Settlement and for no other purpose, the Settling Parties stipulate and agree to: (a) certification of the Action as a non-opt out class action pursuant to Delaware Court of Chancery Rules 23(a), 23(b)(1) and 23(b)(2) on behalf of the Class; (b) appointment of Plaintiffs as Class Representatives; and (c) appointment of Lead Counsel as Class Counsel.
