Senior Managing Agents definition

Senior Managing Agents means each institution listed as a senior managing agent on the cover hereto, each in their capacity as senior managing agents.

Senior Managing Agents means the banks listed on Schedule 1 hereto, in their capacity as senior managing agents of the credit facility hereunder.

Senior Managing Agents means the financial institutions listed on the cover page to this Agreement as “Senior Managing Agents”.

Examples of Senior Managing Agents in a sentence

• Anything herein to the contrary notwithstanding, none of the Bookrunners, Arrangers, Syndication Agents, Documentation Agents, Senior Agents, Senior Managing Agents, Co-Agents or other similar titles or roles listed on the cover page hereof shall have any powers, duties or responsibilities under this Agreement or any of the other Loan Documents, except in its capacity, as applicable, as the Administrative Agent, a Lender or an L/C Issuer hereunder.

• Each of the Syndication Agent, the Documentation Agents, the Senior Managing Agents, the Joint Lead Arrangers and the Joint Book Managers (each a “Titled Agent”) in each such respective capacity, assumes no responsibility or obligation hereunder, including, without limitation, for servicing, enforcement or collection of any of the Loans, nor any duties as an agent hereunder for the Lenders.

• This Amended and Restated Fee Letter will supplement each of the Multicurrency Revolving Facility and the Bridge Loan Facility by setting forth the arrangements relating to compensation for certain services rendered and to be rendered by the Lead Arrangers, the Senior Managing Agents and the Administrative Agents in connection with the Facilities.

• To the fullest extent permitted by Law, each of the Borrower and each other Loan Party hereby agrees not to assert any claims that it may have against the Administrative Agent, the Syndication Agent, the Arrangers, the Co-Documentation Agents, the Senior Managing Agents, any L/C Issuer or any Lender with respect to any alleged breach of agency or fiduciary duty in connection with any aspect of any transaction contemplated hereby.

• H-1 This opinion letter is delivered solely to the Banks, the Senior Managing Agents, the Managing Agents, the Co-Agents, the Co-Documentation Agents, the Co-Syndication Agents and the Agent, and may not be relied upon by any other Person other than the addressees hereof, any successor or assignee of any addressee (including successive assignees) and any Person who shall acquire a participation interest of any Bank (collectively, the “Reliance Parties”).

Senior Managing Agents means The Bank of New York Mellon, Citibank, N.A., PNC Bank, National Association and Royal Bank of Canada.

Senior Managing Agents means each of Capital One National Bank, The Huntington National Bank, Regions Bank, Sumitomo Mitsui Banking Corporation, TD Bank, N.A., and U.S. Bank National Association, in their capacity as Senior Managing Agents.

Senior Managing Agents means PNC Bank, National Association and Keybank National Association, in their capacities as senior managing agents.

Senior Managing Agents means Fifth Third Bank, Citizens Bank, N.A., PNC Capital Markets LLC and BBVA Compass as senior managing agents under this Agreement.

Senior Managing Agents means Barclays Bank PLC, Credit Suisse Loan Funding LLC, Fifth Third Bank, National Association, U.S. Bank, National Association and BNP Paribas Securities Corp., in their capacities as senior managing agents.

Senior Managing Agents shall include such successor agent effective upon its appointment, and the resigning Senior Managing Agent's rights, powers and duties as a Senior Managing Agent shall be terminated, without any other or further act or deed on the part of such former Senior Managing Agent or any of the parties to this Agreement.

Senior Managing Agents means (i) Citizens Bank, N.A., HL Finance, LLC and Sumitomo Mitsui Banking Corporation, each in its capacity as a senior managing agent of the Facilities and (ii) MUFG Bank, Ltd., Deutsche Bank AG New York Branch, Bank of Montreal, Sumitomo Mitsui Banking Corp New York Branch, Natixis, New York Branch and Jefferies Finance, LLC each in its capacity as a senior managing agent in connection with Amendment No. 2.
