Seller Notice has the meaning specified in Section 6.01(a).

• At any time within fifteen (15) business days after receipt of the Seller Notice, the Company or its assignee may, by giving written notice to the Seller, elect to purchase all of the Stock proposed to be transferred to any one or more of the Proposed Transferees, at the purchase price determined in accordance with subsection (c) below.
