The stated maturity of such arrangement will be deemed to be the date of the last payment of rent or any other amount due under such arrangement prior to the first date on which such arrangement may be terminated by the lessee without payment of a penalty. Sale and Leaseback Transactions between or among the Company and its Restricted Subsidiaries shall not be deemed a "Sale and Leaseback Transaction" hereunder.
