Rooftop Equipment definition

Rooftop Equipment means either a microwave transmitter-receiver, satellite dish or antenna or other equipment acceptable to Landlord in its reasonable discretion. The Rooftop Equipment shall be of a weight, height and width reasonably acceptable to Landlord and as reasonably necessary for Tenant’s use of the Premises and the conduct of its business therein. In addition, also subject to the Tenant Work Letter or Article 8, as the case may be, Tenant shall have the right to install cables leading from the Rooftop Equipment to the Premises at Tenant’s sole cost and expense and in a location, manner, material and size as shall be reasonably approved by Landlord. Landlord shall have the right to require that Tenant install screening around the Rooftop Equipment.
Rooftop Equipment means (i) telecommunications antennae, microwave dishes and other communications and information technology equipment to serve Tenant’s business in the Leased Premises, (ii) connections for such equipment for electrical wiring to the Building’s existing electrical supply and cable (including the Tenant Lines) or similar connections necessary to connect the Rooftop Equipment with Tenant’s related equipment located in the Leased Premises.
Rooftop Equipment means supplemental HVAC equipment and telecommunications equipment and related appurtenances and cabling used in connection with Tenants business at the Premises.

Rooftop Equipment shall also include all cables, conduit, wiring and other equipment installed by Tenant in connection with any equipment installed on the roof. Tenant shall install the Rooftop Equipment in a manner that does not void or jeopardize the Rooftop Warranty and at Landlord’s request, Tenant shall obtain a written confirmation from the issuer of the Rooftop Warranty that any installation, repair, replacement and removal of the Rooftop Equipment has not voided the Rooftop Warranty. Landlord may supervise or perform any roof penetration related to the installation of any Rooftop Equipment and Landlord may charge the cost thereof to Tenant. Tenant agrees that all installation, construction, maintenance and removal shall be performed in a neat, responsible and workmanlike manner, using generally acceptable construction standards, consistent with such requirements as shall be imposed by Landlord and consistent with the plans and specifications approved by Landlord for the installation of the Rooftop Equipment. Tenant further agrees to label each cable, conduit, wiring and other equipment placed by Tenant in the Building, with identification information as required by Landlord. Tenant shall repair any damage to the Building caused by Tenant’s installation, maintenance, replacement, use or removal of the Rooftop Equipment. The Rooftop Equipment shall remain the property of Tenant and Tenant may remove the Rooftop Equipment at its cost at any time during the Term; provided, that Tenant shall remove all of the Rooftop Equipment at Tenant’s cost and expense upon the expiration or termination of this Lease. Tenant shall repair and restore any damage to the Building, Project and any Common Areas caused by Tenant’s removal of the Rooftop Equipment. If Tenant does not so remove the Rooftop Equipment by the expiration or earlier termination of the Term, the same shall be an Event of Default, and at Landlord’s election, the Rooftop Equipment shall be deemed abandoned and at Landlord’s option in its sole and absolute discretion, shall thereupon become the property of Landlord, in which case Landlord may possess, use, dispose of (at Tenant’s sole cost and expense) and otherwise enjoy the beneficial incidents of the ownership thereof as Landlord deems appropriate. Rooftop Equipment means a satellite dish, antenna, related communications equipment and supplemental HVAC equipment installed on the roof of the Building by or for Tenant for use in Tenant’s business.
Rooftop Equipment shall have the meaning given to such term in Section 14.2.

Rooftop Equipment shall include the roof-mounted heating, air conditioning, and ventilation systems serving the Premises (the "HVAC Rooftop Equipment"). Notwithstanding any contrary provision contained in this Lease, at the expiration or earlier termination of this Lease, Tenant shall not remove the HVAC Rooftop Equipment unless directed to do so by Landlord. Rooftop Equipment consists of HVAC equipment and communications receiving and transmitting dish antennae, as specified in Schedule 1 attached to and made a part hereof. The “Facilities” consists of all equipment, conduits and materials and other facilities related to the Rooftop Equipment. Landlord shall determine the location of the Rooftop Equipment, and the location of the Facilities, all in its reasonable discretion. The plans and specifications for installation of the Rooftop Equipment and the Facilities at the Building, including, among other things, the proposed mounting method, the location and point of entry to the Building, and the cable route, conduits and type information, shall in every instance be subject to Landlord’s prior written approval which shall not be unreasonably withheld, conditioned or delayed. The Rooftop Equipment shall include a non-penetrating building mounts. The point of entry of the cable that is part of the Rooftop Equipment shall be at such point as Landlord shall determine in its reasonable judgment.
Rooftop Equipment means (i) a telecommunications antenna and/or dish and (ii) supplemental HVAC equipment, in each case including the associated wiring, cabling, brackets, supports, conduits, ductwork and related equipment located on the penthouse/roof level or in other portions of the Building necessary to connect such equipment to the applicable portions of the Premises. Any such Rooftop Equipment shall be installed by Tenant in a location or locations on the roof of a penthouse level of the Building reasonably and mutually agreed upon by Landlord and Tenant for such installations by Tenant and (as to wiring, cabling, conduits, ductwork, and related equipment that connect such equipment to the Premises) within the Building’s core areas and vertical shaft spaces, in each case pursuant to plans approved by Landlord under Exhibit B or Section 10.5, as the case may be. Such use of the Building’s vertical shaft spaces for such purposes shall be available to Tenant throughout the Term in an amount not less than Tenant’s proportionate share thereof (determined by dividing the Premises RSF by the Total Building Square Footage). All such Rooftop Equipment on the penthouse/roof level shall be located within the enclosed penthouse area or screened rooftop areas, as the case may be, in accordance with Applicable Legal Requirements.
