Rolling Forecasts definition

Rolling Forecasts has the meaning set forth in Section 4.1(b) hereof.
Rolling Forecasts. To assist FVC in delivering product in response to Bay's request, by the tenth day of each month, Bay will deliver to FVC its good faith rolling 6-month forecast of Bay's estimated demand of the products for such time period. Except for the "Month One Forecast" portion of such rolling forecast as set forth below, the submission of a forecast shall not require Bay to make any purchases and does not constitute an order, and shall not expose Bay to liability of any kind.

  • Each updated Rolling Forecast supersedes all previous Rolling Forecasts.

  • For clarity, it is understood that all Specifications, Client-supplied Materials, Rolling Forecasts, Purchase Orders, and Client Inventions shall be deemed the Confidential Information of Client.

  • Buyer's Rolling Forecasts shall constitute good faith estimates on the part of the Buyer and Buyer shall not be obligated to purchase any quantities estimated in a Rolling Forecast; provided, that Buyer shall be obligated to purchase quantities of the Products as set forth in an Order (including any modified Order pursuant to Section 3.8) and as may be required by operation of the provisions of Section 3.10.

  • Commencing with Rolling Forecasts provided after a Commercial Supply Election, the first * quarters of a Rolling Forecast will be a binding commitment to purchase, and the remainder of such Rolling Forecast will be nonbinding.

  • Rolling Forecast has the meaning set forth in Section 4.2.

  • Forecasts means the quantity of Items or Services that Buyer reasonably anticipates it may purchase during a specified time.

  • Cash Flow Forecast means a 13-week cash flow forecast for the then applicable period, which shall include, among other things, anticipated cash collections and receipts and anticipated disbursements for each calendar week covered thereby.

  • Contract Year means each period of twelve (12) consecutive months during the Initial Term of this Agreement, with the first Contract Year commencing on the Effective Date, and with each subsequent Contract Year commencing on the anniversary of the Effective Date.

  • Firm Order shall have the meaning set forth in Section 5.2.

  • Purchase Orders means official orders issued by an operating division of Transnet to the Supplier/Service Provider for the supply of Goods or Services;

  • Calendar Week means any period of 7 days starting with the same day as the first day of the First Assignment;

  • Product Schedule means PTC’s standard order form entitled “PTC Product Schedule” (including all schedules, attachments and other document(s) specifically referenced therein) or such alternative order form as may be submitted by Customer and accepted by PTC, in each case that specifies (i) the Licensed Products and/or Services ordered; and (ii) for Licensed Products, the installation address (including the Designated Country) and the Licence Term.

  • Forecast Period means the period of three calendar months for which a Forecast is provided;

  • SKU means stock keeping unit.

  • Product Specifications means those product, labeling and performance specifications for the Product filed with and approved by the relevant Regulatory Authority, including Product formulae, labeling, and materials required for the manufacture of the Product that is to be purchased and supplied under this Agreement, as such are set forth on Schedule 1.25, which specifications may be amended by the Parties from time to time in accordance with this Agreement.

  • Contract Quarter means a three-month period that commences on January 1, April 1, July 1 or October 1 and ends on March 31, June 30, September 30, or December 31, respectively.

  • Purchase Order means the form or format a Customer uses to make a purchase under the Contract (e.g., a formal written purchase order, electronic purchase order, procurement card, contract or other authorized means).

  • Product Specification means a product specification for a Medical Device set out in Schedule 2;

  • Projection means prospective financial statements that present, to the best of the responsible party’s knowledge and belief given one or more hypothetical assumptions, an entity’s expected financial position, results of operations, and changes in financial position or cash flows that are based on the responsible party’s assumptions reflecting conditions it expects would exist and the course of action it expects would be taken given such hypothetical assumptions.

  • Product Backlog means a list of those Stories that do not form part of the current Sprint Plan at that time and which are to form the subject of a future Sprint, either in the current Release at that time or a subsequent Release;

  • Contract Quantity means the quantity of Gas to be delivered and taken as agreed to by the parties in a transaction.

  • Finished Products means the fully assembled and shrink-wrapped Licensed Products, each including a Game Cartridge, Game Cartridge label and Printed Materials.

  • Model Year means the CI engine manufacturer’s annual production period, which includes January 1st of a calendar year, or if the manufacturer has no annual production period, the calendar year.

  • Finished Product means a cannabis product in its final form to be sold at a retail premises.

  • Manufacturing Services means the manufacturing, quality control, quality assurance, stability testing, packaging, and related services, set forth in this Agreement, required to manufacture Product or Products from Active Materials and Components;

  • Supply Period means for a Supply Point, the period beginning on the Start Date and ending on the Termination Date;
