Retention Bonuses shall have the meaning set forth in Section 6.4(b).

Retention Bonuses means all change in control or retention bonuses payable to Current Business Employees in conjunction with the transactions contemplated by this Agreement, including those certain retention bonuses payable to Current Business Employees pursuant to retention agreements entered into between Seller or its Affiliates and such employees prior to the date hereof in connection with the transactions contemplated by this Agreement.
Retention Bonuses means certain retention bonuses payable to the Business Employees pursuant to retention agreements entered into between Seller and such employees prior to the Closing (including those set forth on Schedule 3.11(a)(xviii) of the Seller Disclosure Letter), which bonuses will be paid by Seller in connection with the Closing; provided, however, any retention bonuses payable pursuant to retention agreements entered into between Seller or any of its Affiliates and employees at the written request of Purchaser shall not be included in this definition.
Retention Bonuses means the retention and the retention and transaction bonuses payable to Outsourced Personnel pursuant to the Agreements set forth in Schedule A-5.
