HM Treasury has agreed, subject to certain conditions, to underwrite the Placing and Compensatory Open Offer in full by subscribing any Residual Shares at the Issue Price.
The Placing and Compensatory Open Offer and the obligation of HM Treasury to subscribe for the Residual Shares is conditional on the Open Offer Agreement becoming unconditional in all respects.
