Research Cost definition

Research Cost means the aggregate amount of costs incurred by LeukoSite to perform research under the Stage 2 Research Plan determined in a reasonable manner and consistent with normal internal accounting practices and GAAP.

More Definitions of Research Cost

Research Cost means the fully-burdened cost of producing ribozymes for research use, including, as applicable, the cost of raw materials; direct labor and benefits; if necessary, royalties due to third parties; shipping and indirect costs (including depreciation and other indirect costs, but excluding general and administrative expenses), all fairly allocable to the ribozymes produced under this Agreement as determined in accordance with generally accepted accounting principles and customary usage in the U.S. pharmaceutical industry. For the purposes of the exclusion in the preceding sentence, "general and administrative expenses" means expenses associated with the following functions: human resources, law (including without limitation expenses of defense, settlement or discharge of liabilities to third parties), business development, and executive administration. Accounts receivable, accounts payable and purchasing expenses fairly allocable to the ribozymes produced hereunder shall be included within Research Cost; other expenses associated with general finance functions shall be considered general and administrative expenses and excluded from Research Cost.
