Reported Securities has the meaning provided in Section 6.2.
Reported Securities has the meaning set forth in subparagraph (b)(3) of Section 2.04.
Reported Securities means any securities received in an Adjustment Event that (A) are (i) listed on a United States national securities exchange, (ii) reported on a United States national securities system subject to last sale reporting, (iii) traded in the over-the-counter market and reported on the National Quotation Bureau or similar organization or (iv) for which bid and ask prices are available from at least three nationally recognized investment banking firms; and (B) are either (x) perpetual equity securities or (y) non-perpetual equity or debt securities with a stated maturity after the Exchange Date. The number of shares of any Reported Securities included in the calculation of Transaction Value pursuant to clause (ii) of the definition thereof shall be subject to adjustment if any event that would, had it occurred with respect to the Common Stock or the Company, have required an adjustment pursuant to Section 6.1 or 6.2, shall occur with respect to such Reported Securities or the issuer thereof subsequent to the date the Adjustment Event is consummated. Adjustment for such subsequent events shall be as nearly equivalent as practicable to the adjustments provided for in Section 6.1 or 6.2, as applicable.
