Renaissance Companies definition

Renaissance Companies means, collectively, Group, Renaissance Media, Renaissance Capital, Renaissance Louisiana and Renaissance Tennessee, each of which may be referred to herein individually as a "Renaissance Company."
Renaissance Companies means RMG and any successor thereto, together with its direct and indirect Subsidiaries (including, without limitation, the Parent Companies, Capital Corporation and the Borrower).

Examples of Renaissance Companies in a sentence

  • Implement any new marketing plans not contemplated in the Renaissance Companies' budget, except as set forth in Schedule 6.1 or as consented to by Buyer, such consent not to be unreasonably withheld.

  • The Renaissance Companies may, prior to Closing, terminate, transfer or assign to Holdings, its designee or any other Person, each of the Excluded Assets on such terms as shall be determined by Holdings, in its sole discretion.

  • None of the Renaissance Companies has any liability for the Taxes of any person (other than any Renaissance Company) pursuant to Section 1.1502-6 of the Treasury Regulations promulgated under the Code or comparable provisions of any taxing authority in respect of a consolidated, combined or unitary Tax Return.

  • Unpaid Taxes of the Renaissance Companies (other than (i) any Taxes referred to in Section 6.10(d) and (ii) Taxes attributable to Buyer's actions on the Closing Date that are not in the ordinary course of business) for all Pre-Closing Tax Periods shall be included as Current Liabilities in the computation of Closing Net Liabilities to the extent that such unpaid Taxes are not reflected on the Financial Statements.

  • From and after the expiration of such period, Holdings and its Affiliates (other than the Renaissance Companies) shall retain the sole and exclusive right to use the name "Renaissance" and any and all derivations thereof, including the Renaissance Companies' internet domain and the internet addresses "renmxxxx.xxx" xxd "R-Mexxx.xxx" xxd Buyer agrees to have such name removed from all trucks, signs and the other Assets used in the operation of the Systems.

  • Buyer shall prepare or cause to be prepared and file or cause to be filed any Tax Returns of the Renaissance Companies for Tax periods which begin before the Closing Date and end after the Closing Date.

  • Except as set forth in Schedule 3.11, all reports or other documents, payments or submissions required to be filed by any of the Renaissance Companies with any of the Franchising Authorities or the FCC have been duly filed and were correct in all material respects when filed.

  • Group shall cause the appropriate Renaissance Companies to terminate the employment of the Headquarters Employees and the Employment Agreements, in each case, without liability in respect thereof to any Renaissance Company, including, without limitation, pursuant to the Employment Agreements.

  • The Renaissance Companies' billing records are prepared by CSG Systems, Inc.

  • Schedule 3.10 contains a true and correct description and list of the Intangibles (exclusive of those required to be listed in Schedule 3.8), that are owned or leased by any of the Renaissance Companies and that are necessary for the conduct of the business or operations of the Systems as currently conducted.

Related to Renaissance Companies

  • Renaissance zone means that area designated a renaissance zone under the Michigan renaissance zone act, 1996 PA 376, MCL 125.2681 to 125.2696.

  • Finance Company means any Finance Company or other lender with whom You have agreed a Loan or credit agreement through the Supplying Outlet.

  • Operating Companies means, collectively, the Creekside Operating Company, the Mentone Operating Company and the Yucaipa Operating Company. “Operating Company” means any of the Operating Companies.

  • Operating Company has the meaning set forth in the preamble.

  • Gateway means the BT electronic gateway, used for all ordering or fault reporting as described in the relevant section of the Handbook;

  • CREST means the system for the paperless settlement of trades and the holding of uncertificated securities operated by EUI in accordance with the Uncertificated Regulations, as amended from time to time.

  • Greenfield means land not developed beyond agricultural, range, or forestry use.

  • Asset Management Company/UTI AMC/AMC/Investment Manager means the UTI Asset Management Company Limited incorporated under the Companies Act, 1956, (1 of 1956) replaced by The Companies Act, 2013 (No. 18 of 2013) and approved as such by Securities and Exchange Board of India (SEBI) under sub-regulation (2) of Regulation 21 to act as the Investment Manager to the schemes of UTI Mutual Fund;

  • Sales finance company means that term as defined in section 2 of the motor vehicle sales finance act, MCL 492.102.

  • Summit means the Summit of the Heads of State or Government of SADC established by Article 9 of this Treaty;

  • Hospitality means the considerate care of guests, which may include refreshments, accommodation and entertainment at a restaurant, hotel, club, resort, convention, concert, sporting event or other venue such as Company offices, with or without the personal presence of the host. Provision of travel may also be included, as may other services such as provision of guides, attendants and escorts; use of facilities such as a spa, golf course or ski resort with equipment included;

  • LLC means Limited Liability Company.

  • Asset Management Company means an asset Management Company as defined in the Rules and Regulations.

  • Finance Corp. means the Person named as “Finance Corp.” in the first paragraph of this instrument until a successor Person shall have become such pursuant to the applicable terms of this Indenture, and thereafter “Finance Corp.” shall mean such successor Person.

  • Cooperating country national (“CCN”) means an individual who is a cooperating country citizen or a non-cooperating country citizen lawfully admitted for permanent residence in the cooperating country.

  • Keystone means Keystone Underwriting Pty Ltd ABN 78 601 944 763 as Corporate Authorised Representative (No. 000468712) of Keystone Underwriting Australia Pty Ltd ABN 59 634 715 674 AFSL 518224 which is acting on behalf of Underwriters.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Operating Partnership has the meaning set forth in the preamble.

  • Travelling Companion means an individual or individuals travelling with the Insured/Insured Person, provided that, the Insured and such individual(s) are travelling to the same destination and on the same date and such individual(s) is/are also insured under this Policy. For the purpose of this definition, any individual(s) forming part of a group travelling on a tour arranged by a Travel Agent or a tour operator shall not be considered as Travelling Companion, unless the individual(s) is/are part of the family of the Insured/Insured Person.

  • SCC means the Special Conditions of Contract.

  • Related Bodies Corporate has the meaning given to that term in the Corporations Xxx 0000 (Cth).

  • Residentia Group means Residentia Group Pty Ltd of 165 Barkly Avenue Burnley VIC, ACN 600 546 656 in respect of Appliances purchased in Australia;

  • Renewable energy means the grid quality electricity generated from renewable energy sources;

  • Corporation/ Corpn./ Department means the Central Warehousing Corporation.

  • Green means products, materials, methods and processes certified by a “Green Authority” that conserve natural resources, reduce energy or water consumption, avoid toxic or other polluting emissions or otherwise minimize environmental impact.

  • Campus means any place where the college conducts or sponsors educational, public service, or research activities.
