Rejected Offer definition

Rejected Offer. An offer made in accordance with Paragraph 2 of this Agreement which is rejected by the Corporation and the Remaining Shareholder in accordance with Paragraphs 3 and 4 of this Agreement.
Rejected Offer has the meaning ascribed to this term in clause 11.4 (Rejected Offer).
Rejected Offer means any Qualified Offer (excluding any Leveraged Offer made by any Executive or his Affiliates) received for the assets (or the stock) of any of the Operating Companies of which FGC recommends the acceptance, but which the Informal Committee (or the Official Noteholder Committee, as the case may be) or Indenture Trustee elects to reject.

Rejected Offer means a bona fide written offer to sell any of the Total Shares for cash immediately available upon settlement (within no more than three Business Days) through any of the brokers listed on Schedule 1 attached hereto at a price per share equal to or greater than $6.25, which offer was one that the Investor is able to immediately accept but is not accepted by Investor; PROVIDED, HOWEVER, that a "Rejected Offer" shall not include an offer that was not accepted or a transaction not completed for any reason outside the discretion of the Investor.

  • Sell Offer means an offer to sell Capacity Resources in a Base Residual Auction, Incremental Auction, or Reliability Backstop Auction.

  • Permitted Offer means a tender offer or an exchange offer for all outstanding Common Shares of the Company determined by the Board of Directors of the Company, after receiving such advice as it deems necessary and giving due consideration to all relevant factors, to be in the best interests of the Company and its stockholders.

In determining the market/offer price, the value of consideration other than cash shall be determined by a nationally recognized investment banking firm selected by the Holder or Owner, as the case may be, and reasonably acceptable to Issuer.

  • Firm Offer means an offer which, when made, was capable of becoming legally binding upon acceptance.

  • Offer Notice shall have the meaning set forth in Section 4.1.

  • Third Party Offer has the meaning set out in Section 6.4;

  • Net Proceeds Offer Trigger Date has the meaning set forth in Section 4.16.

  • Initial Offer Price means the initial price payable for a Share as specified in the relevant Supplement for each Fund.

  • Initial Offer means the initial offer of Participating Shares in a Fund as set out in the applicable Supplement;

  • Tender Offer means a takeover offer, tender offer, exchange offer, solicitation, proposal or other event by any entity or person that results in such entity or person purchasing, or otherwise obtaining or having the right to obtain, by conversion or other means, greater than 10 per cent. and less than 100 per cent. of the outstanding voting shares of the Share Company, as determined by the Determination Agent, based upon the making of filings with governmental or self-regulatory agencies or such other information as the Determination Agent deems relevant.

  • Net Proceeds Offer Payment Date has the meaning set forth in Section 4.16.

  • Offer means “proposals” in negotiation.

  • Tender Notice means the Tender Notice set out in Part 1 of this TenderDocument;

  • Shelf Offering Notice has the meaning set forth in Section 2(d)(ii).

  • Auction Notice has the meaning assigned to such term in the definition of “Dutch Auction”.

  • Sell or Offer to Sell means to: • sell, offer to sell, contract to sell or lend, • effect any short sale or establish or increase a Put Equivalent Position or liquidate or decrease any Call Equivalent Position • pledge, hypothecate or grant any security interest in, or • in any other way transfer or dispose of, in each case whether effected directly or indirectly.

  • Offering Notice has the meaning set forth in Section 3.1(a).

  • Prepayment Notice means a notice by the Borrower to prepay Loans, which shall be in such form as the Appropriate Party may approve.
