Each Purchasing Stockholder must notify the other Stockholders of such Purchasing Stockholder's desire to purchase all or a portion of the Bankrupt Stockholder's Shares in writing by twenty (20) days after the date the Bankruptcy petition is filed by or against the Bankrupt Stockholder.
The sale rights provided by this Section 5.1 must be exercised by each other Stockholder within twenty (20) Business Days following receipt of the notice described in the preceding sentences, by delivery of a written notice to the Purchasing Stockholder indicating such other Stockholder’s election to exercise its sale rights pursuant to this Section 5.1 and specifying the number of shares of Common Stock it elects to sell.
Unless they agree otherwise, if there is more than one Purchasing Stockholder, each Purchasing Stockholder may purchase the proportion of the Bankrupt Stockholder's Shares that such Purchasing Stockholder's Percentage Interest bears to the aggregate Percentage Interests of all Purchasing Stockholders.
If the Purchasing Stockholder fails to purchase shares of Common Stock from any other Stockholder that has properly exercised its sale rights as provided in this Section 5.1, then the Purchasing Stockholder shall not be permitted to make the proposed purchase, and any such attempted purchase shall be void and of no effect.
The Offeree Stockholders desiring to purchase the Offered Shares (collectively, the "Purchasing Stockholders") will each submit, within the Offeree Option Period, written notice to Company disclosing the number of Shares proposed to be purchased by such Purchasing Stockholder (each, a "Purchase Notice").
