Examples of Purchaser Termination Fee in a sentence
Purchaser acknowledges that the Purchaser Termination Fee set out in Section 6.1 is a payment of liquidated damages which are a genuine pre-estimate of the damages which the Purchaser will suffer or incur as a result of the event giving rise to such damages and the resultant termination of this Agreement and is not a penalty.
If the Purchaser Termination Fee is payable pursuant to the preceding sentence, Purchaser shall pay to or at the direction of Chemtura the Purchaser Termination Fee by wire transfer of immediately available funds no later than five Business Days after the date of such termination (it being understood that in no event shall Purchaser be required to pay the Purchaser Termination Fee on more than one occasion).
For the avoidance of doubt, if Seller makes the Purchaser Fee Election and Purchaser pays the Purchaser Termination Fee, Purchaser shall have no other liability for any breach of this Agreement (regardless of the time of breach).
Covered Persons are to notify the CCO of all directorships and officer ships with companies outside of AIA in advance of holding such positions and must notify the CCO of any outside employment or business activity which may interfere with such person’s normal business activities or which may create a conflict of interest with AIA or its clients.
The Purchaser Termination Fee shall be payable in immediately available funds by wire transfer no later than five (5) Business Days after such termination.
