Purchaser Nominee definition

Purchaser Nominee means any person designated by the Purchaser Representative to be nominated by the Company for election to the Board of Directors as a Series A Director pursuant to Section 4.1(b).

Purchaser Nominee means any Affiliate or Affiliates of the Purchaser that the Purchaser indicates to AWI as transferee or transferees of the Sale Shares, or portions of the Sale Shares, under the Local Share Transfer Agreements; to the extent the Purchaser has not indicated a Purchaser Nominee in relation to certain Sale Shares at the latest five Business Days prior to the Completion Date, the Purchaser itself shall be deemed transferee in relation to these Sale Shares;

Examples of Purchaser Nominee in a sentence

• If at any time during the period when the Purchaser Nominee(s) have a right to be appointed to the Board pursuant to this Section 2, there shall occur a vacancy in the Board seat previously occupied by a Purchaser Nominee by reason of resignation, removal, death or incapacity, then such vacancy shall be filled by another Purchaser Nominee designated in accordance with this Section 2.

• On or before the applicable Delivery Date in respect of each Aircraft, the Seller of such Aircraft shall deliver, or procure that the relevant Lessee delivers, to the Air Authority such documents as are necessary to instruct the Air Authority to record, to the extent permitted by law, the relevant Purchaser or any Purchaser Nominee which is the owner or lessor of such Aircraft as the new owner or lessor of such Aircraft in the aircraft register maintained by the Air Authority.

• Pursuant to the Securities Purchase Agreement, for so long as Cambiar owns shares of Common Stock constituting more than 4.9% (subject to certain terms and conditions set forth therein) and such Purchaser Nominee shall be nominated by the Board for re-election as a director at Until the one-year anniversary of the date of the Securities Purchase Agreement, Cambiar may not transfer any of the shares of Common Stock without prior written consent.

Purchaser Nominee has the meaning specified in Section 4.18(1)(b) hereof.
