Public Market Value definition

Public Market Value means (i) prior to an IPO, an amount equal to Fully Distributed Public Market Value and (ii) following an IPO, the aggregate common equity market value of the Company based on the average of the daily volume weighted average per share trading prices of Common Stock on the primary exchange or market on which it trades for the 20 trading days ending on the second trading day immediately preceding the closing of the applicable purchase transaction or such other date as provided in this Agreement.
Public Market Value of one Common Share shall mean, when the Company's Common Shares are publicly traded, (i) the average of the closing prices of a Common Share on the principal securities exchange on which the Common Shares are listed or, if not so listed, as traded in the NASDAQ National Market, if traded therein, on each of the ten consecutive trading days prior to the date of determination, or (ii) if the Common Shares are not so listed or traded, the average of the bid and asked prices of a Common Share as otherwise quoted on the NASDAQ system or any successor system in use on the most recent date prior to the date of determination on which such quoted prices exist.
Public Market Value means, as of any given day, the reported per Unit closing price of the Units on the Stock Exchange on which such Units are traded or quoted (or, if there is no reported closing price on that day, then on the last preceding day on which such a closing price was reported) or if the Units are traded or quoted in the over-the-counter market, the average of the closing bid and asked prices of such units, in each case for the five trading days prior to but excluding the day on which the determination of Public Market Value is to be made pursuant to the Program (or, if there is no reported trades on a particular trading day in such five-day period, the most recent period of five trading days on which there are reported trades).

More Definitions of Public Market Value

Public Market Value means, as of a given time, with respect to a share of Issuer Common Stock, (i) if prior to an IPO, an amount equal to the Fully Distributed Public Market Value per share as determined by the appraisal process set forth in Section 5.1 or (ii) if following an IPO, an amount equal to the average of the daily volume weighted average per share closing price of the Issuer Common Stock on the primary exchange or market on which it trades for a trading period of 45 days ending on the second trading day immediately preceding the date of consummation of the applicable purchase transaction pursuant to Sections 3.1, 3.3 or 4.1, as the case may be.
Public Market Value means, as of any date, with respect to any equity security, the product of the weighted average number of shares of such security outstanding during the 20 Trading Day period for such security immediately preceding such date multiplied by the average of the Closing Prices of such security for such period. Notwithstanding the foregoing, if such security is not listed or admitted for trading on any national securities exchange or the Nasdaq National Market, the Public Market Value of such security shall be zero.
Public Market Value has the meaning ascribed in clause (ii) of the definition provided in the Newco Operating Agreement.
Public Market Value means the average trading price of all price quotes, as reported on TRACE (as reported on Bloomberg) and/or Factset, for any given Publicly Traded Debt Securities during the Trading Period.
