Public Disclosure Record means collectively, all of the documents which have been filed on xxx.xxxxx.xxx since June 1, 2017 by or on behalf of the Corporation with the Securities Commissions pursuant to the requirements of Canadian Securities Laws;

Public Disclosure Record means all documents filed by or on behalf of the Company on the System for Electronic Document Analysis Retrieval (“SEDAR”) since January 1, 2015 and prior to the date hereof that are publicly available on the date hereof;

Public Disclosure Record means all information circulars, prospectuses (including preliminary prospectuses), annual information forms, offering memoranda, financial statements, annual and other reports, Ontario Securities Commission filings, material change reports and news releases filed from time to time by Premier Gold with the stock exchanges and all securities regulatory authorities in each relevant jurisdiction.

• There has been no material reduction in the aggregate amount of estimated mineral reserves or estimated mineral resources of the Purchaser Guarantor and its subsidiaries, taken as a whole, from the amounts disclosed in the Purchaser Guarantor Public Disclosure Record (except as a result of mining operations in the ordinary course of business) nor has there been a change in any economic assumptions upon which such mineral reserves are based.

• Contango has filed or furnished, as applicable, all documents in the Contango Public Disclosure Record required to be filed or furnished by it in accordance with U.S. Securities Laws or the requirements of the NYSE American.

• HighGold has filed or furnished, as applicable, all documents in the HighGold Public Disclosure Record required to be filed or furnished by it in accordance with applicable Securities Laws and the requirements of the TSXV.

• To the knowledge of the Purchaser Guarantor, there are no facts, events or circumstances that would reasonably be expected to result in a failure to obtain or be in compliance with such material permits as are necessary to conduct its business as it is currently being conducted as set forth in the Purchaser Guarantor Public Disclosure Record.

• All such documents and information comprising the Contango Public Disclosure Record, as of their respective dates (and the dates of any amendments thereto): (i) did not contain any misrepresentation; and (ii) complied in all material respects with the requirements of U.S. Securities Laws and the applicable policies of the NYSE American relating to continuous disclosure requirements.
