Project Specific IPR definition

Project Specific IPR means: Intellectual Property Rights in items created by the Supplier (or by a third party on behalf of the Supplier) specifically for the purposes of this Call Off Contract and updates and amendments of these items including (but not limited to) database schema; and/or IPR in or arising as a result of the performance of the Supplier’s obligations under this Call Off Contract and all updates and amendments to the same; but shall not include the Supplier Background IPR;
Project Specific IPR means: Intellectual Property Rights in items created by the Supplier (or by a third party on behalf of the Supplier) specifically for the purposes of this Contract and updates and amendments of these items including (but not limited to) database schema; and/or IPR in or arising as a result of the performance of the Suppliers obligations under this Contract and all updates and amendments to the same; but shall not include the Supplier Background IPR;
Project Specific IPR means: (a) all Intellectual Property Rights developed or created by the Contractor, its Affiliates and/or any sub-contractor (or by a third party on behalf of the Contractor, or such Affiliate and/or sub-contractor) for the purposes this Contract; and/or (b) all Intellectual Property Rights arising out of, as a result of or in connection with the performance of the Contractor's obligations under this Contract including all Intellectual Property Rights falling within (a) and/or (b) above in and to the Prescribed Documentation and/or in or to procedures, methods and know-how (all as may be modified and upgraded from time to time) but excluding Intellectual Property Rights in or to the Specially Written Software;

Examples of Project Specific IPR in a sentence

  • Project Specific IPR The Supplier hereby grants to the Customer, or shall procure the direct grant to the Customer of, a perpetual, royalty-free, irrevocable, non-exclusive licence to use the Project Specific IPR including but not limited to the right to copy, adapt, publish and distribute such Project Specific IPR.

  • Subject to Clause 33.10.3, the Supplier agrees that the Customer may at its sole discretion publish as Open Source all or part of the Project Specific IPR Items after the Operational Services Commencement Date (such date to be notified by the Customer to the Supplier).

  • If the Customer ceases to be a Central Government Body, the successor body to the Customer shall still be entitled to the benefit of the licences granted in Clause 33.2 (Licence granted by the Supplier: Project Specific IPR) and Clause 33.3 (Licence granted by the Supplier: Supplier Background IPR).

  • Customer’s right to sub-license The Customer shall be freely entitled to sub-license the rights granted to it pursuant to Clause 33.2.1 (Licence granted by the Supplier: Project Specific IPR).

  • If a licence granted in Clause 33.2 (Licence granted by the Supplier: Project Specific IPR) and/or Clause 33.3 (Licence granted by the Supplier: Supplier Background IPR) is novated under Clauses 33.5.1 and/or 33.5.2 or there is a change of the Customer’s status pursuant to Clause 33.5.3 (both such bodies being referred to as the “Transferee”), the rights acquired by the Transferee shall not extend beyond those previously enjoyed by the Customer.


More Definitions of Project Specific IPR

Project Specific IPR means: (a) Specially Written Software; (b) Documentation; and (c) all other items; (i) created by the Contractor (or any third party on behalf of the Contractor) specifically for the purposes of this Agreement; or (ii) arising as a result of the performance of the Contractor's obligations under this Agreement, and in each case, including all updates and amendments of these items;
Project Specific IPR means: Intellectual Property Rights in items created by the Supplier (or by a third party on behalf of the Supplier) specifically for the purposes of this Call Off Contract and updates and amendments of these items including (but not limited to) database schema; and/or IPR in or arising as a result of the performance of the Supplier’s obligations under this Call Off Contract and all updates and amendments to the same; but shall not include the Supplier Background IPR or the Specially Written Software; Protective Measures appropriate technical and organisational measures which may include: pseudonymising and encrypting Personal Data, ensuring confidentiality, integrity, availability and resilience of systems and services, ensuring that availability of and access to Personal Data can be restored in a timely manner after an incident, and regularly assessing and evaluating the effectiveness of the such measures adopted by it Quality Plans shall have the meaning given in Clause 10.2 (Standards and Quality); Recipient has the meaning given to it in Clause 34.4.1 (Confidentiality); Rectification Plan means the rectification plan pursuant to the Rectification Plan Process; Rectification Plan Process means the process set out in Clause 38.2 (Rectification Plan Process); Registers has the meaning given to in Call Off Schedule 11 (Exit Management); Regulations means the Public Contracts Regulations 2006 and/or the Public Contracts (Scotland) Regulations 2012 (as the context requires) as amended from time to time;
Project Specific IPR means (a) IPR in items created by the Service Provider (or by a third party on behalf of the Service Provider) specifically for the purposes of this Contract including, any Deliverables, the Source Code and all updates and amendments of these items; and/or IPR arising as a result of the performance of the Service Provider's obligations under this Contract; But which shall not include the Service Provider’s Pre-Existing IPRs or the Specially Written Software;

Relevant Conviction: means a Conviction that is relevant to the nature of the Goods and/or Services to be provided or as specified in the Call Off Order Form. Relevant Requirements: means all applicable Law relating to bribery, corruption and fraud, including the Bribery Act 2010 and any guidance issued by the Secretary of State for Justice pursuant to section 9 of the Bribery Act 2010. Relevant Tax Authority: means HMRC, or, if applicable, the tax authority in the jurisdiction in which the Supplier is established. Relevant Transfer: means a transfer of employment to which the Employment Regulations applies. Relevant Transfer Date: means, in relation to a Relevant Transfer, the date upon which the Relevant Transfer takes place.
