Strategic Developer Members are also encouraged (but not required) to lead a Project Management Committee (“PMC” as defined in the Bylaws and the then current Eclipse Development Process), in which case one (1) of the eight (8) Developers shall be assigned to act as leader for the PMC (the “PMC Lead”).
All such refunds, if any, shall be made to Gas Purchaser in an amount reflecting the allocation of such refunds that the Project Management Committee recommends and the Board of Directors determines by calculating the ADQ of Gas Purchaser for the previous Annual Delivery Period and dividing Gas Purchaser’s ADQ by the aggregate total ADQ for such Annual Delivery Period of all of the Project Participants.
Project Management Committee meetings shall be held at least every six months to review the overall project progress and the administrative and economic status.
These meetings will be under the leadership of the Project Coordinator and the Project Management Committee.
The Chair will provide a minimum of 14 days notice of any meeting of the Project Management Committee.
