Program IP means the Program Know-How and the Program Patent Rights.
Program IP means Know-How and Materials, plus all Patents arising therefrom, created or conceived in connection with the activities performed pursuant to the Research Collaboration (whether solely by one party or jointly by the parties, in each case optionally with their Affiliates or any licensees, sublicensees, subcontractors or any other Third Parties or any employees, consultants or agents of any of the foregoing).
Program IP means Joint Patents and Joint Know-How, collectively.

Licensee will not file any Patent Rights claiming the Licensor Product-Related Program IP.
Licensee (on behalf of itself and its Affiliates) will and does hereby assign to Licensor its right, title, and interest in and to the Licensor Product-Related Program IP.
