Permitted Representatives definition

Permitted Representatives means, for PWGSC, government officials, employees and agents from any organization of the federal public administration, including, for greater certainty, departments and central agencies, as well as any contractors, representatives or advisors retained by any portion thereof; and for XYZ, directors, employees, authorized representatives or advisors.

Permitted Representatives has the meaning assigned to such term in Section 2.5.

Permitted Representatives means those legal, financial and accounting professionals, consultants, independent contractors, agents, advisors and all other third parties engaged by Recipient who: (i) are under the control of or acting as agents of the Recipient and whom the Recipient can and will obligate to adhere to the terms of this Agreement; (ii) need to know the specific QL Information being disclosed in order to perform necessary services for the Recipient to accomplish the Permitted Purpose; (iii) are given actual notice of this Agreement and that the disclosure of QL Information is being made subject to the terms of this Agreement; and (iv) are subject to and bound by this Agreement (whether they remain employed or engaged by the Recipient or not). Recipient agrees to be responsible for any breach of this Agreement by Recipient or any of its Permitted Representatives.

Examples of Permitted Representatives in a sentence

• If a Party or its permitted representatives gain access to protected health information (“PHI”), as that term is defined under The Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), that is not required for performance of this Agreement, each Party shall immediately report to the other Parties any incidents of access to PHI or any incidents of use, reproduction or disclosure of PHI of which it or its Permitted Representatives become(s) aware.

• The Receiving Party will be liable for breach of this Article 6 by any of its Permitted Representatives.

• If a Party or its permitted representatives gain access to protected health information (“PHI”), as that term is defined under The Health Insurance Portability and Accountability Act of 1996, that is not required for performance of this Agreement, each Party shall immediately report to the other Parties any incidents of access to PHI or any incidents of use, reproduction or disclosure of PHI of which it or its Permitted Representatives become(s) aware.

• Nothing in this Agreement will grant to the Recipient, its Permitted Employees, or its Permitted Representatives, any patent, copyright, trademark, mask work, trade secret, license or right of any kind with respect to the QL Information, other than to review and evaluate such QL Information for the Permitted Purpose.

• Backus, Rod Dorman and/or Laurex Xxxxxx (each (including Mr. Xxxxx), x "Xxrmxxxxx Xxxxesentatixx" xxx xxxxxctively, including Xx. Xxxxs, "Permitted Representatives") to exercise the approval rigxxx xxxxxibed herein; provided, however, that at all times Popeil, during his lifetime, has a designated Permitted Representative upon his death.

More Definitions of Permitted Representatives

Permitted Representatives shall have the meaning assigned thereto in Section 6.2.

Permitted Representatives means the Interested Party’s legal counsel, accountants, financial institutions, financing sources, financial advisors, other consultants and professional advisors, provided such persons have a need to know any of the Confidential Information or Personal Information for the purpose of assisting or advising the Interested Party in evaluating the Proposed Transaction or preparing or negotiating definitive agreements related thereto, provided that such individuals are in the business of assisting and advising parties such as the Interested Party and are not themselves in the business of acquiring businesses or realproperty;

Permitted Representatives means, in the case of GrafTech, its Representatives and, in the case of BCP, Representatives of BCP and its managed affiliated investment funds (collectively, the “PE Funds”) who are prohibited from sharing Information with the Non-PE Affiliates.

Permitted Representatives means employees, directors and outside consultants and advisors of the Parties identified in Exhibit A. Any additions to Exhibit A must be agreed to in writing by both Parties (which may include email). Outside consultants and advisors may be identified by the name of the entity and need not list specific individuals. In no event shall any Permitted Representative currently participate in any direct day-to-day decision-making with respect to competitive activities such as setting prices or components of prices, sales, and marketing for medical waste disposal management, during the period in which he or she has access to Clean Team Information and for two years following termination of the Potential Transaction or the abandonment of any negotiations relating to the Potential Transaction; provided that if the Parties or their respective affiliates consummate the Potential Transaction, the obligations under this Paragraph (but not under the Confidentiality Agreement) shall terminate effective as of the closing of the Potential Transaction.

Permitted Representatives means directors, employees, and professional advisors of the recipient.

Permitted Representatives means Third Parties who Manufacture pharmaceutical proteins (including intermediates that are subsequently processed into a pharmaceutical protein) on behalf of Xxxxxxx under Xxxxxxx’x “have made” rights hereunder, or any other Subcontractors or sublicensees of Xxxxxxx to whom Xxxxxxx is not prohibited from granting a sublicense or “have made,” or “have sold,” rights under the rights licensed to Xxxxxxx under ARTICLE 5 (License Grants) based on the Danisco License Agreement.
