Performance Requirements definition

Performance Requirements. The ordering entity reserves the right to inspect and verify that all deliveries are in accordance with specifications, both at the point of delivery and at the point of use. For orders that specify an “authorized party” to receive and inspect deliveries and/or installations, acceptance and inspection procedures must be performed by the” authorized party” to be considered and accepted by the ordering entity. Products inspected at the time of use are subject to refusal and return requirements for issues of quality such as defects in manufacturing and/or workmanship. Products will not be considered accepted by the ordering entity until the installation is complete for the applicable products.

Performance Requirements means the performance measure(s) set forth in Exhibit A.

• Harmony has policies and procedures to ensure compliance with the aforementioned Performance Requirements.

• The Grantee will not have any voting rights or be entitled to any dividends with respect to Performance Units unless and until the Performance Requirements are timely satisfied and Shares have actually been issued to the Grantee.

• If the Performance Requirements are not satisfied, no extraordinary dividends shall be paid.

More Definitions of Performance Requirements

Performance Requirements means (i) with respect to a Segment or the System, the applicable System Performance Requirements set forth or to be developed by mutual agreement pursuant to the System Performance and Availability section of the Technical Volume, (ii) with respect to any System Upgrade, the applicable System Performance Requirements set forth in or to be developed by mutual agreement pursuant to the Technical Volume or (iii) in each case, such other Segment, System or System Upgrade performance levels as mutually agreed by the Parties.

Performance Requirements mean the performance requirements as set forth on Exhibit A of this Agreement. Notwithstanding this Section 1 and, unless otherwise specified in the Agreement, capitalized terms shall have the meanings attributed to them under the Plan.

Performance Requirements shall have the meaning set forth in Section 4.5.

Performance Requirements means the performance requirements set forth on the Schedule A hereto.

Performance Requirements means any requirements established by the Committee in its sole discretion, the attainment of which is substantially uncertain at the time such requirements are established and which therefore makes vesting conditional. Performance Requirements may be described in terms of Group-wide objectives or objectives that are related to the performance of the individual Participant or a Subsidiary, division, department or function within the Company or Subsidiary in which the Participant is employed. Performance Requirements may be measured on an absolute or relative basis. Relative performance may be measured by a group of peer companies or by a financial market index.

Performance Requirements means objective quantitative benchmarks developed pursuant to the process set forth in paragraphs23 to 25 of this Consent Decree.
