Once Parent has established a record date for the Company Stockholder Meeting, Parent shall not change such record date or establish a different record date for the Parent Stockholder Meeting without the prior written consent of the Company (not to be unreasonably withheld, delayed or conditioned), unless re- quired to do so by Applicable Law or Parent’s organizational documents.
The Company may require Parent to ad- journ, delay or postpone the Parent Stockholder Meeting once for a period not to exceed 30 cal- endar days (but prior to the date that is two Business Days prior to the End Date) to solicit addi- tional proxies necessary to obtain the Parent Stockholder Approval.

The Company and Parent shall each call a meeting of its stockholders (respectively, the "Company Stockholder Meeting" and the "Parent Stockholder Meeting" and, collectively, the "Stockholder Meetings") to be held as promptly as practicable for the purpose of voting upon the Merger (in the case of the Company) and the Parent Share Issuance and the Charter Amendment (in the case of Parent).
