Other Distributions definition

Other Distributions means the aggregate amount of (x) cash distributions actually paid, and (y) the fair market value of any assets (other than cash) actually distributed by the Corporation to its stockholders solely in respect of the shares of any Covered Classes of the Corporation during the period commencing on __________ ___, 2006 through, the date of the consummation of a Liquidation Event or Qualified Public Offering, as the case may be. The Board shall in good faith calculate the fair market value of any such assets. Notwithstanding the foregoing, Other Distributions shall not include (i) any accruing but unpaid dividends payable on any shares of Covered Classes of the Corporation until such time as such dividends are actually paid in cash, (ii) any Liquidation Proceeds, (iii) Redemption Proceeds or (iv) any shares of capital stock issued in connection with a Qualified Public Offering, which remain outstanding immediately after the consummation thereof.
Other Distributions. Employer confirmation that the participant is eligible for a distribution under the Plan because he or she has had a Severance from Employment, died, become disabled, or attained age 59 ½ (unless Employee Data is used to process these distributions) and should be processed by the Vendor.

More Definitions of Other Distributions

Other Distributions means all amounts paid to Affiliates (whether by loan, dividends, contributions, for the purchase of property, for services or otherwise) except as permitted pursuant to Section 7.3(a), (c), (d), (e), (f), (g) and (h).
