Other Compounds definition

Other Compounds means ROCHE Compounds or EVOTEC Compounds that are (i) generated independently and outside the Research Program without aid, use, application or reference to any Confidential Information of the other Party, including ROCHE Patent Rights, EVOTEC Patent Rights, ROCHE’s Background Intellectual Property, EVOTEC Background Intellectual Property or any Research Project Intellectual Property / Produced Compound Intellectual Property owned by the other Party, (ii) within the literal scope of any composition of matter claim in Produced Compound Intellectual Property owned by the other Party (either alone or jointly) and documented and attached as an Appendix to the Agreement and (iii) proven as being Other Compounds by competent documentary proof. The term Other Compounds shall include any products including biomarkers, resulting from the use of the Other Compounds and the use shall include diagnostic use.
Other Compounds means any other free-radical scavengers which had been developed or were being developed, as of the Original Effective Date, by or on behalf of CLINTEC for a primary purpose or use as a pharmaceutical, if any and which were contributed to TTI pursuant to the Contribution Agreement.
Other Compounds has the meaning set forth in Section 1.62.

  • Prior to achieving Lead Series Identified Criteria, Roche agrees not to analyze the Other Compounds or Collaboration Compounds for the purpose of determining the structures thereof.

  • Commercialized shall have corresponding meanings.

  • Biological Materials means certain tangible biological materials that are necessary for the effective exercise of the Patent Rights, which materials are described on Exhibit A, as well as tangible materials that are routinely produced through use of the original materials, including, for example, any progeny derived from a cell line, monoclonal antibodies produced by hybridoma cells, DNA or RNA replicated from isolated DNA or RNA, recombinant proteins produced through use of isolated DNA or RNA, and substances routinely purified from a source material included in the original materials (such as recombinant proteins isolated from a cell extract or supernatant by non-proprietary affinity purification methods). These Biological Materials shall be listed on Exhibit A, which will be periodically amended to include any additional Biological Materials that Medical School may furnish to Company.

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

  • Collaboration Know-How means all Know-How and Materials discovered, created, conceived, developed or reduced to practice in the course of performing activities under the Collaboration Program (whether solely by one Party or jointly by the Parties, in each case with their Affiliates or any Third Parties or any employees, consultants or agents of any of the foregoing which perform activities under the Collaboration Program).

  • Biological product means a virus, therapeutic serum, toxin, antitoxin, vaccine, blood, blood component or derivative, allergenic product, protein other than a chemically synthesized polypeptide, or analogous product, or arsphenamine or any derivative of arsphenamine or any other trivalent organic arsenic compound, applicable to the prevention, treatment, or cure of a disease or condition of human beings.

  • Commercialize or “Commercialization” means the marketing, promotion, sale (and offer for sale or contract to sell), distribution, importation or other commercial exploitation (including pricing and reimbursement activities) for a Product in the Territory. Commercialization shall include commercial activities conducted in preparation for Product launch.

  • Collaboration Target means the Initial Collaboration Targets set forth on Exhibit F and any Additional Target or Substitute Target that is selected in accordance with Section 3.3 of this Agreement.

  • Diagnostic Product means any test or assay for diagnosing or detecting a disease, disorder, medical condition, or symptom.

  • Commercializing means to engage in Commercialization and “Commercialized” has a corresponding meaning.
