Option Closing Time definition

Option Closing Time has the meaning given to it in Section 16(1);

Option Closing Time means 8:00 a.m. (Toronto time) on the Option Closing Date;

• At the Closing Time and the Option Closing Time, as the case may be, the Corporation shall duly and validly deliver to the Underwriter confirmation of an electronic deposit of the Units with CDS Clearing and Depositary Services Inc.

• The rights, privileges, restrictions, conditions and other terms attaching to the subordinate voting shares will, at the Closing Time and, if applicable, the Over- Allotment Option Closing Time, conform in all material respects to the respective descriptions thereof contained in the Final Offering Documents.

• In consideration for their services in underwriting the distribution of and purchasing the Offered Shares, the Corporation agrees to pay to the Underwriters at the Closing Time and at any Over-Allotment Option Closing Time, a fee (the "Underwriting Fee") equal to 6% of the gross proceeds from the sale of the Offered Shares being the amount of $480,020.40 (and $552,023.46 in the event the Over-Allotment Option is exercised in full).

More Definitions of Option Closing Time

Option Closing Time means 8:00 a.m. (Toronto time) on any Option Closing Date or such other time on any Option Closing Date as the Company and the Underwriters may agree;
