Offering Request definition

Offering Request has the meaning set forth in Section 3(a).
Offering Request is defined in Section 4.2(a).
Offering Request means a Demand Offering Request or a Piggy Back Offering Request.

Examples of Offering Request in a sentence

  • Except as otherwise contained herein, the Company shall bear all reasonable Registration Expenses incident to the Parties’ performance of or compliance with this Agreement or otherwise in connection with any Demand Registration, Shelf Registration, Underwritten Offering Request or Piggyback Registration (excluding any Selling Expenses), whether or not any Registrable Securities are sold pursuant to a registration statement.

  • Each of the foregoing methods of distribution (other than underwritten offerings) is referred to in this Agreement as an “Alternative Transaction.” The term “Distribution Request” means in the case of an Underwritten Offering, an Underwritten Offering Request, and, in the case of an Alternative Transaction, notice of such Alternative Transaction delivered to the Company not later than one (1) Business Day prior to the initiation thereof.

  • Each Underwritten Offering Request shall specify the approximate number of Ordinary Shares to be sold in the Underwritten Offering and the expected aggregate proceeds of such Underwritten Offering.

  • As promptly as practicable, but no later than two Business Days after receipt of a Shelf Offering Request, the Company shall give written notice (the “Shelf Offering Notice”) of such Shelf Offering Request to all other holders of Shelf Registrable Securities.

  • Subject to Section 1(e) below, after receipt of any Underwritten Offering Request, the Company shall give written notice (the “Underwritten Offering Notice”) of such requested Underwritten Offering (which notice shall state the material terms of such proposed Underwritten Offering, to the extent known) to all other Holders that have Registrable Securities registered for sale under the Shelf Registration Statement (“Shelf Registrable Securities”).

  • If taught by a provider other than the Bureau of Fire Standards and Training, obtain approval for the class offering from the Bureau of Fire Standards and Training prior to the first day of the course by submitting to the Bureau of Fire Standards and Training a completed Class Offering Request Form, DFS-K4-2167.

  • The Operator submits to GLDD a duly accomplished Game Offering Request and Approval Form (GS Form No. 7) informing PAGCOR of the cessation of a game offering and its implementation date.

  • Requests for course offering approval shall be electronically submitted 30 days prior to the first day of the course using Form DFS-K4-2167, Class Offering Request, via: https://floridastatefirecollege.org/provider/pr_offering_app.asp, which is incorporated by reference in subsection 69A-37.039(2), F.A.C., and can be obtained where indicated in subsection 69A-37.039(1), F.A.C.

  • Requests for couce offering approval shall be electronically submitted 30 days prior to the first day of the course using Form DFS-K4-2167, Class Offering Request, via: https://floridastatefirecollege.org/provider/pr_offering_app.asp, which is incorporated by reference in subsection 69A-37.039(2), F.A.C., and can be obtained where indicated in subsection 69A-37.039(1), F.A.C.

  • If the Company receives a Shelf Underwritten Offering Request, it will give written notice of such proposed Shelf Underwritten Offering to each Holder (other than the Requesting Holder), which notice shall include the anticipated filing date of the related Underwritten Offering Filing and, if known, the number of shares of Common Stock that are proposed to be included in such Shelf Underwritten Offering, and of such Holders’ rights under this Section 2.2(b).

  • Offering Notice has the meaning set forth in Section 3.1(a).

  • Shelf Offering Notice has the meaning set forth in Section 2(d)(ii).

  • Funding Request shall have the meaning set forth in Section 5.3(a).

  • Borrowing Request means a request by the Borrower for a Borrowing in accordance with Section 2.03.

  • Shelf Takedown Request shall have the meaning set forth in Section 3.2.5(a).

  • Minimum Offering Notice means a written notification, signed by Broker, pursuant to which the Broker shall represent (1) that subscriptions for the Minimum Offering have been received, (2) that, to the best of Broker’s knowledge after due inquiry and review of its records, Cash Investment Instruments in full payment for that number of Shares equal to or greater than the Minimum Offering have been received, deposited with and collected by NCPS, (3) and that such subscriptions have not been withdrawn, rejected or otherwise terminated, and (4) that the Subscribers have no statutory or regulatory rights of rescission without cause or all such rights have expired.

  • Shelf Takedown Notice shall have the meaning given in subsection 2.1.3.

  • Demand Registration Request shall have the meaning set forth in Section 3.1.1(a).

  • Piggyback Request has the meaning set forth in Section 2(b).

  • Underwritten Offering Notice has the meaning set forth in Section 2(b).

  • Ruling Request means any letter filed by Parent with the IRS requesting a ruling regarding certain tax consequences of the Transactions (including all attachments, exhibits, and other materials submitted with such ruling request letter) and any amendment or supplement to such ruling request letter.

  • Selection Notice means a notice substantially in the form set out in Part II of Schedule 3 (Requests) given in accordance with Clause 9 (Interest Periods).

  • Registration Request has the meaning set forth in Section 2.01(a).

  • Registration Notice has the meaning specified in Section 2.1(a).

  • Issuance Notice means a written notice delivered to the Agent by the Company in accordance with this Agreement in the form attached hereto as Exhibit A that is executed by its Chief Executive Officer, President or Chief Financial Officer.

  • Underwritten Shelf Take-Down Notice has the meaning set forth in Section 2.02(e).

  • Issuance Notice Date means any Trading Day during the Agency Period that an Issuance Notice is delivered pursuant to Section 3(b)(i).

  • Investor Notice means written notice from an Investor notifying the Company and the selling Key Holder that such Investor intends to exercise its Secondary Refusal Right as to a portion of the Transfer Stock with respect to any Proposed Key Holder Transfer.

  • Long Form Notice means the form of notice that shall be posted on the Settlement Website created by the Settlement Administrator and shall be available to Settlement Class members by mail on request made to the Settlement Administrator in the form attached as Exhibit 2.

  • Borrowing Notice is defined in Section 2.8.

  • Bid Request means a written request for one or more Bid Loans substantially in the form of Exhibit B-1.

  • Designation Notice means a notice from any Lender or an Affiliate of a Lender substantially in the form of Exhibit I.

  • Incremental Loan Request has the meaning set forth in Section 2.14(a).

  • Loan Request means a letter in substantially the form of Exhibit A hereto executed and delivered by the Borrower to the Administrative Agent and the Group Agents pursuant to Section 2.02(a).

  • Issuance Request means a Letter of Credit request and certificate duly executed by an Authorized Officer of the Borrower, substantially in the form of Exhibit B-2 hereto.
