NXP Group means NXP Semiconductors N.V. and its direct and indirect subsidiaries. "Rules" means these rules together with all Annexes hereto.

Examples of NXP Group in a sentence

  • As of the date set for Closing, all coverage with respect to NXP’s Relevant Businesses under any insurance policies of any member of the NXP Group (the “Insurance Policies”) in respect of events, occurrences or accidents occurring on or after the Closing Date shall be cancelled and terminated, excluding those Insurance Policies in respect of which the sole policy holders or named insured are part of NXP’s Relevant Businesses.

  • This Agreement does not contain a stipulation in favour of a third party (‘derdenbeding’), except for the Company and the relevant Group Companies in relation to all provisions of this Agreement pursuant to which the Company and/or the Group Companies are granted certain rights or are the recipient of certain guarantees, covenants or undertakings and for the relevant members of the NXP Group in relation to Clause 6.10 and Clause 6.14.

  • NXP Group shall provide support to Trident Group in accordance with NXP Group’s normal return policies and procedures, including quality levels previously committed by NXP Group to its customers prior to the Closing Date, and shall make available tools and manpower to analyze such returns and quality improvement efforts consistent with common industry practices applied by third party foundries and subcontractors.

  • If the instructions from Trident Group are determined by NXP, acting in good faith, to not be commercially reasonable, NXP Group shall provide Trident Group with an estimate of the excess cost of complying with such instructions.

  • Any such approved Wafers and purchase orders shall be for the economic benefit and risk of Trident and shall be used by NXP Group in the provision of Back End Services for Products of Trident ordered in the Finished Goods Period.

  • The Warranty shall in any event not extend to (i) defects to Products caused by accident, abuse, misuse, neglect, improper installation or packaging, repair or alteration by someone other than NXP Group or its suppliers or subcontractors, or improper testing or use, or (ii) defects caused by any Third Party Providers.

  • NXP Group warrants that it shall use commercially reasonable efforts to render the Manufacturing Services such that Products delivered to Trident Group under this Agreement shall substantially meet the agreed specifications set out in Annex J under normal use for a period (the “Warranty Period”) of one (1) year from the date of shipment (the “Warranty”).

  • The provisions in this Section 7.10 shall not restrict the NXP Group from engaging in any activities currently conducted by NXP and its Affiliates (other than the Restricted Business).

  • Upon written acceptance by Trident Group of such estimate, NXP Group shall comply with such instructions within the scope of such estimate.

  • NXP Group shall keep, store and use Wafers with the same care that it extends to its own wafers.

Related to NXP Group

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.
