Noteholder Representative definition

Noteholder Representative has the meaning set forth in the preamble to this Agreement.

Noteholder Representative means Trend Capital Management LP or any replacement representative appointed by the Noteholders acting by Extraordinary Resolution.

Noteholder Representative shall include, in addition to the Noteholder Representative referred to in the recitals hereto, (a) any successors and assigns thereto or any acting Noteholder Representative, in each case, as permitted under the Noteholder Documents, and (b) if there is no acting Noteholder Representative, the Required Holders (as defined in the Noteholder Documents).

• In addition, the Parent agrees it will not reduce the level or scope of its insurance policies, not renew, terminate or cancel any insurance coverage in place or remove the Noteholder Representative as a loss payee thereunder, in each case prior to fulfillment of the Obligations under the Notes and thereafter for a period of at least six years without the prior consent of the Noteholder Representative.

• The Parent and each of the Borrowers will cooperate with the Noteholder Representative and execute such further instruments and documents as the Noteholder Representative shall reasonably request to effectuate the terms of this Agreement and the other Loan Documents.

• Each Purchaser hereby authorizes the Noteholder Representative to execute on behalf of all Purchasers all Loan Documents other than this Agreement.

• The Noteholder Representative shall not be responsible for the negligence or misconduct of any sub-agents or attorneys-in-fact except to the extent that a court of competent jurisdiction determines in a final and non-appealable judgment that the Noteholder Representative acted with gross negligence or willful misconduct in the selection of such sub-agents.

• C Definitions "100% Noteholder" means one or more Noteholders holding 100% of the outstanding Notes or the Noteholder Representative.

Noteholder Representative means Wilmington Trust, National Association in its capacity as Noteholder Representative on behalf of the First Lien Noteholders, Second Lien Noteholders, Parent Third Lien Noteholders and Holders, as applicable.

Noteholder Representative means the party designated as such in the Counterparty Replacement Notice;

Noteholder Representative has the meaning specified therefor in the introductory paragraph of this Agreement.

Noteholder Representative means the Person who is designated by the Funding Lenders to act as provided below. Citibank, N.A. shall be the initial Noteholder Representative, and any future Noteholder Representative shall be as designated by the Funding Lenders in writing delivered to the Governmental Lender and the Fiscal Agent. The Noteholder Representative shall have the authority to bind the owners of the Governmental Lender Notes for all purposes hereunder and under each of the other Funding Loan Documents. The Fiscal Agent and the Governmental Lender shall be entitled to rely upon the acts of any such Noteholder Representative as binding upon the Noteholder Representative and the owners of the Governmental Lender Notes. "Opinion of CounseY' shall mean a written opinion from an attorney or firm of attorneys acceptable to the Noteholder Representative and the Governmental Lender T-27388 .001/1 1 27885.doc 8 Council Agenda: 9-9-2014 with experience in the matters to be covered in the opinion; provided that whenever an Opinion of Counsel is required to address the exclusion of interest on the Tax-Exempt Governmental Lender Notes from gross income for purposes of federal income taxation, such opinion shall be provided by Tax Counsel.

Noteholder Representative means, as at the Issue Date, OFI Asset Management (being the duly appointed management company of portfolios holding 100 per cent. of the Notes as at the Issue Date), provided that the Noteholder Representative may be replaced from time to time in accordance with Condition 8(s) (Noteholder Representative).

Noteholder Representative means Zhongtai International Asset Management Limited, or any successor thereof, as determined by the Calculation Agent on behalf of the Issuer.
