Note Security Documents definition

Note Security Documents means any agreement, document or instrument pursuant to which a Lien is granted securing any Note Obligations or under which rights or remedies with respect to such Liens are governed.
Note Security Documents means the collateral agreements and any mortgages, security agreements, pledge agreements or other instruments evidencing or creating Liens on the assets of the Company and the Subsidiary Guarantors to secure the obligations under the Senior First Priority Indenture and the Senior First Priority Notes or the Senior Second Priority Indenture and the Senior Second Priority Notes, as amended, restated, supplemented, waived or otherwise modified from time to time.
Note Security Documents means the Collateral Trust Agreement, each joinder to the Collateral Trust Agreement and all security agreements, pledge agreements, collateral assignments, mortgages, deeds of trust, control agreements or other grants or transfers for security executed and delivered by the Company or any other Grantor creating (or purporting to create) a Priority Lien upon Collateral in favor of the Collateral Trustee, for the benefit of the Priority Lien Secured Parties and the Collateral Trustee, in each case, as amended, modified, renewed, restated or replaced, in whole or in part, from time to time.

  • The Notes Collateral Agent does not assume any responsibility for any failure or delay in performance or any breach by the Issuer or any Guarantor under this Indenture, the Intercreditor Agreement and the Note Security Documents.

  • For the avoidance of doubt, the Notes Collateral Agent shall have no discretion under this Indenture, the Intercreditor Agreement or the Note Security Documents and shall not be required to make or give any determination, consent, approval, request or direction without the written direction of the Holders of a majority in aggregate principal amount of the then outstanding Notes or the Trustee, as applicable.

  • From and after the Issue Date, and subject to the applicable limitations and exceptions set forth in the Note Security Documents and this Indenture, if the Issuer or any Guarantor acquires any assets that would constitute Collateral, it must concurrently grant a first priority perfected security interest (subject to Permitted Liens) upon any such Collateral, as security for the Notes, the Subsidiary Guarantees, this Indenture and the Note Security Documents, all at the Issuer’s cost.

  • The Notes Collateral Agent shall have the right at any time to seek instructions from the Holders of the Notes with respect to the administration of this Indenture, the Note Security Documents and the Intercreditor Agreement.


More Definitions of Note Security Documents

Note Security Documents means the security documents creating the security interest in the Note Collateral.
Note Security Documents means the Collateral Agreement (including any joinder thereto) and any mortgages, security agreements, pledge agreements or other instruments evidencing or creating Liens on the assets of the Company and any of its Subsidiaries that guarantee any Series of Securities to secure the obligations under such Securities and this Indenture, as amended, amended and restated, supplemented, waived, modified, renewed or replaced from time to time.
Note Security Documents as defined in the Indenture.
Note Security Documents means the Junior Lien Pledge and Security Agreement, the other “Security Documents”, as defined in the First Supplemental Note Indenture, and any other documents now existing or entered into after the date hereof that create Liens on any assets or properties of the Company or any subsidiaries of the Company to secure any Note Obligations.
Note Security Documents means the Security Agreement and any mortgages, security agreements, pledge agreements or other instruments evidencing or creating Liens on the assets of the Issuer and the Guarantors to secure the obligations under the Notes and this Indenture, as amended, amended and restated, supplemented, waived, modified, renewed or replaced from time to time.
Note Security Documents means the U.S. Security Documents, the U.S. Mortgages (if any), the UK Security Documents, the Cayman Security Documents, the Finnish Security Documents, the Irish Security Documents, the intellectual property security agreements, any deposit account control agreements or securities account control agreements covering the deposit accounts or securities accounts of any Note Party, any other security agreements, debentures, pledges, charges or similar agreements or documents executed in connection herewith and each other instrument, agreement or document executed and delivered by the Company and/or certain of its Subsidiaries and/or Affiliates to the Collateral Agent pursuant to this Indenture or any other security document granting a Lien to secure any of the Note Obligations.
Note Security Documents as defined in the Base Intercreditor Agreement.
