Note A-2 definition

Note A-2 shall have the meaning assigned to such term in the recitals.

Note A-2 means that certain Replacement, Amended and Restated Promissory Note A-2, dated May 1, 2020, as the same may be amended, modified, supplemented extended, restated or replaced, and shall include any replacement promissory notes issued in respect thereof.

Note A-2 means Note A-2-1, Note A-2-2, Note A-2-3, Note A-2-4 and Note A-2-5, collectively.

• The originals of all of the Mortgage Loan Documents (other than Note A-2, Note A-3, Note A-4 and Note A-5) will be held by the Trustee under the BMARK 2024-V6 PSA (or by a custodian on its behalf) under the terms of the BMARK 2024-V6 PSA on behalf of all of the Holders.

• To the extent another party is appointed as Agent hereunder, the Note A-1 Holder, the Note A-2 Holder, the Note A-3 Holder, the Note A-4 Holder and the Note A-5 Holder, hereby designates such person as its agent under this Section 14 solely for purposes of maintaining the Note Register.

• Note A-1, Note A-2, Note A-3, Note A-4 and Note A-5 shall be of equal priority, and no portion of any of Note A-1, Note A-2, Note A-3, Note A-4 or Note A-5 shall have priority or preference over any portion of the other Note or security therefor.

• The Person in whose name a Note is so registered shall be deemed and treated as the sole owner and holder thereof for all purposes of this Agreement, except in the case of the initial Note A-1 Holder, the initial Note A-2 Holder, the initial Note A-3 Holder, the Initial Note A-4 Holder, and the initial Note A-5 Holder who may hold their Notes through a nominee.

• The Directing Holder shall designate a Person to serve as Special Servicer by delivering to the other Holder and the parties to the BMARK 2024-V6 PSA, the Note A-2 PSA, the Note A-3 PSA, the Note A-4 PSA and the Note A-5 PSA a written notice stating such designation and by satisfying the other conditions required under the Servicing Agreement (including, without limitation, a Rating Agency Confirmation, if required by the terms of the Servicing Agreement), if any.

Note A-2 means, individually or collectively, Note A-2-S, Note A-2-C1 and Note A-2-C2, as the context may require.

Note A-2 means that certain Promissory Note A-2 (Fifth Mezzanine Loan), dated the date hereof, executed by Borrower and payable to the order of Lender in the amount of Forty One Million Two Hundred Fifty Four Thousand Five Hundred Eighty Three and 33/100 Dollars ($41,254,583.33), as the same may hereafter be amended, supplemented, or otherwise modified from time to time.
