• Notwithstanding the foregoing, amendments to the Members Schedule may be made by the Manager, without the consent of the other Members, following any new issuance, redemption, repurchase, or Transfer of Membership Interests in accordance with this Agreement.

• Each Initial Member owning Shares has made the Capital Contribution set forth on the Members Schedule and is deemed to own the number and class of Shares, in each case in the amounts set forth opposite such Initial Member’s name on the Members Schedule as in effect on the date hereof.

• The Manager shall maintain a schedule of all Members, their respective mailing addresses and the amount and series of Units held by them (the “Members Schedule”), and shall update the Members Schedule upon the issuance or Transfer of any Units to any new or existing Member in accordance with this Agreement.

More Definitions of Members Schedule

Members Schedule means Schedule A attached hereto, as set forth in Section 3.03.

Members Schedule means the schedule of the members of MIG Holdings, to be created and maintained by or on behalf of MIG Holdings pursuant to the MIG Holdings LLC Agreement.

Members Schedule has the meaning set forth in § 3.1.2.

Members Schedule shall have mean the schedule of all Members maintained by the Company pursuant to Section 5.1 hereunder setting forth the name of each Member, the number and type of Units held by them and their respective Percentage Interest.

Members Schedule shall have the meaning set forth in Section 4.1(a). “Membership Interests” shall mean the rights entitling such Member to a share of the Net Gain and Net Loss pursuant to Section 7.1, to Distributions pursuant to Section 7.4, and to a share of the assets of the Company or a Series upon liquidation in accordance with Sections 11.2 and 11.4.

Members Schedule means Schedule 1 attached hereto.
