Material Filings definition

Material Filings has the meaning set forth in Section 4.3(a)(iv).
Material Filings means any order or decision of the court or other pleading or court papers filed with the court in connection with the Marriott Litigation which could reasonably be expected to have a Material Adverse Effect on the applicable Issuer or applicable Property; provided, however, Issuers shall not be obligated to provide discovery materials or any other decision or order of the court or other filings with the court which are purely procedural and, in no event shall Issuers be required to provide any pleadings or other documents or information which, if disclosed, would (x) violate any confidentiality agreement or order or the court or (y) compromise any applicable attorney client or work product privilege.
Material Filings shall have the meaning set forth in Section 5.4 hereof

Examples of Material Filings in a sentence

  • To the extent permitted by applicable Law, each Party shall request confidential treatment of Material Filings made by it.

  • Note Trustee shall have received from Issuer all Material Filings (defined below) in the Marriott Litigation.

  • Registration Material Filings with the OSC Service 33 OSC staff shifting to work from home on March 16, 2020, as a result of the COVID-19 pandemic, applied pressure to registration staff’s ability to process registration applications within typical service timelines, as communicated in the public e-mail blast to stakeholders on April 22, 2020.

Related to Material Filings

  • Governmental Filings means all filings, including franchise and similar tax filings, and the payment of all fees, assessments, interests and penalties associated with such filings with all Governmental Authorities.

  • SEC Filings has the meaning set forth in Section 4.6.

  • Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.

  • Company Filings means all documents of the Company publicly filed under the profile of the Company on the System for Electronic Document Analysis Retrieval (SEDAR).

  • Material Consents as defined in Section 7.3.

  • Material Information means information for which there is a substantial likelihood that a reasonable investor would consider it important in making investment decisions, or information that is reasonably certain to have a substantial effect on the price of a company’s securities. Examples of material information include information regarding dividend changes, earnings estimates, changes in previously released earnings estimates, significant merger or acquisition proposals or agreements, major litigation, liquidity problems, and extraordinary management developments.

  • SEC Documents shall have the meaning specified in Section 4.5.

  • Disclosure Documents is defined in Section 5.3.

  • Filings the filing or recording of (i) the Financing Statements as set forth in Schedule 3, (ii) this Agreement or a notice thereof with respect to Intellectual Property as set forth in Schedule 3, and (iii) any filings after the Closing Date in any other jurisdiction as may be necessary under any Requirement of Law.

  • Disclosed Information means the information disclosed by a Party for the purpose of settlement, negotiation, Mediation or Arbitration;

  • SEC Reports shall have the meaning ascribed to such term in Section 3.1(h).

  • Necessary Authorizations means all approvals and licenses from, and all filings and registrations with, any governmental or other regulatory authority, including, without limiting the foregoing, the Licenses and all approvals, licenses, filings and registrations under the Communications Act, necessary in order to enable the Borrower and its Subsidiaries to own, construct, maintain, and operate communications tower facilities and to invest in other Persons who own, construct, maintain, manage and operate communications tower facilities.

  • Adverse Effect has the meaning assigned to such term in Section 2.1.5;

  • Required Filings shall have the meaning specified in the Pledge and Security Agreement.

  • Other Filings has the meaning set forth in Section 6.8(a).

  • Material Documents has the meaning set forth in Section 5.23.

  • Material Intellectual Property means Intellectual Property owned by or licensed to a Grantor and material to the conduct of any Grantor’s business.

  • Material Financial Obligations means any Debt and/or Derivatives Obligation of the Borrower and/or one or more of its Subsidiaries, arising in one or more related or unrelated transactions, the principal or face amount (with respect to Debt) or Settlement Amount (with respect to Derivatives Obligations, after giving effect to any netting arrangements) of which exceeds in the aggregate $100,000,000.

  • Material means material in relation to the business, operations, affairs, financial condition, assets or properties of the Company and its Subsidiaries taken as a whole.

  • Disclosure Memorandum means the set of numbered schedules referencing Sections of this Agreement delivered by Seller and dated of even date herewith, as supplemented by new or amended schedules delivered by Seller prior to the Closing.

  • Public Disclosure Documents means, collectively, all of the documents which have been filed by or on behalf of the Purchaser in the 24 months prior to the date hereof with the relevant Securities Regulators pursuant to the requirements of Securities Laws and filed on SEDAR at xxx.xxxxx.xxx;

  • Material Litigation is defined in Section 6.7.

  • Regulatory Authorizations means all approvals, clearances, authorizations, registrations, certifications, licenses and permits granted by any Regulatory Authority.

  • Subsequent Disclosure Documents means any financial statements, management’s discussion and analysis, information circulars, annual information forms, material change reports (other than confidential material change reports), business acquisition reports or other documents issued by the Corporation after the Execution Time which are, or are deemed to be, pursuant to applicable Securities Laws, incorporated by reference into the Final Prospectuses or any Prospectus Amendment;

  • Material Company means, at any time:

  • Material Related Party Transactions means any transaction/transactions to be entered into individually or taken together with previous transactions during a financial year exceeds 10% of the annual consolidated turnover of the Company as per the last audited financial statements of the Company.
