Material Changes definition

Material Changes means any change: (i) that substantially alters the general appearance or structural integrity of exterior walls and elevations, building bulk, coverage or floor area ratio or number of floors; (ii) to the colors and uses of exterior finishing materials from those shown and specified in the Approved Plans and Specifications; (iii) in landscape planning and design or to exterior lighting and other exterior site features from the Approved Plans and Specifications; (iv) that affects the number of Residential Units; (v) that affects the unit mix of Residential Units by ten percent (10%) or more from the Approved Plans and Specifications; (vi) that increases or decreases the size of a Residential Unit by ten percent (10%) or more from the Approved Plans and Specifications; (vii) that increases the Project Budget, (viii) that requires additional zoning approvals, or (ix) that will cause an increase in the Initial Sales Prices shown on Exhibit H.
Material Changes mean those changes which Turquoise reasonably determines, within its discretion, to be material or significant for commercial, legal or any other reasons.
Material Changes shall have the meaning as used in Section 4.2(g) hereof.

Examples of Material Changes in a sentence

  • Material Changes: Prior to delivering any products incorporating a “material change”, Seller shall provide advance notice to Buyer in sufficient time to reasonably evaluate the proposed change and, if necessary, to place an end-of-life order for the unchanged product, but in no event shall Seller’s notice be less than 30 calendar days.

  • If Developer desires to make any Material Changes to the Approved Plans and Specifications, Developer shall submit the proposed changes in writing to District for approval, which approval shall be granted or withheld in District’s sole discretion.

  • Without the prior written approval of the appropriate Government Authorities, there shall be no Material Changes to the Plans and Specifications subsequent to the initial approval.

More Definitions of Material Changes

Material Changes means any changes in Customer-provided specification or netlist that (1) lead to an increase in block size or die size of 1% or more; (2) increase the nominal performance of the block or chip or both by 1 % or more; (3) alter the testing requirements after the Second Signoff; (4) in the case of I/O limited designs, lead to any increase in pin out; or (5) in the case of non-I/O limited designs, lead to an increase in pin out of 1 % or more.
Material Changes include, but are not limited to: a decision to remove all Foreign Assets from a particular Eligible Foreign Custodian; any event that may adversely and materially affect an Eligible Foreign Custodian's financial or operational strength; Wachovia's inability to perform its duties in accordance with the standard of care under this Paragraph 8; a change in control of an Eligible Foreign Custodian; the failure of an Eligible Foreign Custodian to comply with the standards in or the terms of Rule 17f-5; any material change in any contract governing Customer's foreign custody arrangements; the failure of Wachovia or a foreign custody arrangement to meet the standards in Rule 17f-5; any event that may adversely affect Wachovia's ability to comply with Rule 17f-5; and a Material Change in any (i) information provided to the Board regarding Wachovia's expertise in foreign custody issues and risks (ii) Wachovia's use of third party experts to perform its foreign custody responsibilities, (iii) Customer's Board's ability to monitor Wachovia's performance, or (iv) Wachovia's financial strength or its ability to indemnify Customer.
Material Changes means any substantial change to any agreement, plan or other document referred to herein, and without limiting the generality of the foregoing, the parties hereby agree that any changes to agreements, plans or other documents which alter the price, timing, parties or physical boundaries set forth therein shall be deemed substantial enough to constitute Material Changes.
Material Changes means changes from information previously submitted to ADOH in the substance of the Project, including but not limited to substantial changes in the composition of the Owner, in the Project itself, in the terms or sources of financing, or in the construction lender, permanent lender, and syndicator (if the credit pricing drops.)
Material Changes is defined in Section 11.19.
Material Changes for such purposes shall not include simply adding or removing a Futures Interest to or from the group of Futures Interests traded on behalf of the Trading Fund (subject to Sections 1(b) and 1(c)).
Material Changes. The Contractor shall give HCA, in accord with the Notices section of the General Terms and Conditions, forty-five (45) calendar days advance notice of cancellation or non-renewal of any insurance in the Certificate of Coverage. If cancellation is due to non- payment of premium, the Contractor shall give HCA ten (10) calendar days advance notice of cancellation. General: By requiring insurance, the state of Washington and HCA do not represent that the coverage and limits specified shall be adequate to protect the Contractor. Such coverage and limits shall not be construed to relieve the Contractor from liability in excess of the required coverage and limits and shall not limit the Contractor’s liability under the indemnities and reimbursements granted to the State and HCA in this Contract. All insurance provided in compliance with this Contract shall be primary as to any other insurance or self-insurance programs afforded to or maintained by the State. The Contractor may waive the requirements as described in the Commercial General Liability Insurance, Professional Liability Insurance, Insurers and Evidence of Coverage Provisions of this section if self-insured. In the event the Contractor is self-insured, the Contractor must send to HCA by the third Wednesday of January in each Contract year, a signed written document, which certifies that the Contractor is self-insured, carries coverage adequate to meet the requirements of this section, shall treat HCA as an additional insured, expressly for, and limited to, the Contractor's services provided under this Contract, and provides a point of contact for HCA.
